AGREEMENT

This Agreement (the "Agreement") is made and entered into as of [Effective Date], by and between [Your Name], having a business address at [Your Company Address] ("Party A"), and [Other Party Name], having a business address at [Other Party Address] ("Party B"). Party A and Party B shall collectively be referred to as the "Parties" and each individually as a "Party".

  • Payment Method: Direct bank transfer to Party A's designated account

5. Confidentiality

Each Party agrees to maintain the confidentiality of any proprietary or confidential information disclosed by the other Party in connection with this Agreement. This obligation shall survive the termination of this Agreement.

6. Termination

This Agreement may be terminated by either Party upon giving [number] days' written notice to the other Party. The Agreement may also be terminated immediately if either Party breaches any material term of this Agreement.

7. Governing Law

8.3 Waivers

Any waiver of any term or condition of this Agreement must be in writing and signed by the Party against whom the waiver is to be enforced. No waiver of any term or condition herein shall be deemed to be a waiver of any subsequent breach of the same or any other term or condition herein.

8.4 Severability

If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.
