SERVICE AGREEMENT

 

This Service Agreement (hereinafter referred to as the "Agreement") is made and entered into by and between Lindsey K. Smith, a Web Development service provider, (hereinafter referred to as the "Provider") whose address is 4839 Reel Avenue, Albuquerque and Lester’s Company Inc. (Hereinafter referred to as the "Client") whose address is 1828 Harry Place, Goose Creek, both of whom agree to be bound by this Agreement, on this the 4th day of October, 2050.

 

1. SERVICES PROVIDED

 

1.1 The Provider agrees to provide Web Development services to the Client from the date of October 10, 2050, until the completion of the project. The Provider will perform such services with promptness and diligence in a manner consistent with professional standards.

1.2 The Provider will provide all necessary services, materials, and equipment needed to fully and satisfactorily render such services.

 

2. COMPENSATION

 

2.1 The Client shall pay the Provider a total fee of $16,000.00. The payment shall be made on a monthly basis for the service rendered by the Provider.

2.2 The Client shall be responsible for all costs associated with the services, except otherwise stated in the Agreement.

 

3. TERMS AND TERMINATION

 

3.1 This Agreement shall begin on October 10, 2050, and continue until the project is completed, unless terminated earlier by either party with written notice.

3.2 The Client may terminate this Agreement upon 30 days' written notice to the Provider, if the Provider defaults in any of the obligations and does not cure such default within 30 days.

 

4. CONFIDENTIALITY

 

4.1 The Provider agrees to keep confidential and not to disclose to any other party any confidential information received from the Client during the course of carrying out the services, except when necessary to perform the services under this Agreement.

 

5. GOVERNING LAW

 

5.1 This Agreement shall be governed and construed in accordance with the laws and jurisdiction of Illinois. Any disputes or lawsuits arising from this Agreement shall be resolved in the jurisdiction of Illinois.
