RECRUITMENT CAMPAIGN NON-DISCLOSURE AGREEMENT

Recitals

2. Purpose

The purpose of this Agreement is to protect confidential information disclosed by the Disclosing Party (Joshua Snow) to the Receiving Party (David Fuller) during the recruitment campaign process (the "Purpose").

3. Definition of Confidential Information

"Confidential Information" shall include all information, including but not limited to candidate details, interview questions, assessment methods, and hiring strategies, disclosed by the Disclosing Party to the Receiving Party in connection with the Purpose.

Confidentiality Obligations

4. Non-Disclosure

The Receiving Party agrees not to disclose, directly or indirectly, any Confidential Information to third parties without written consent from the Disclosing Party.

5. Use Limitations

The Receiving Party shall use the Confidential Information solely for the Purpose and shall not use it for any other purpose without the express written consent of the Disclosing Party.

6. Protection of Information

The Receiving Party shall take reasonable measures to protect the confidentiality of the Confidential Information and prevent unauthorized disclosure.

Exceptions

7. Information Not Covered

This Agreement shall not apply to information that is already in the public domain, independently developed by the Receiving Party, or received from a third party without confidentiality obligations.

Term and Termination

8. Term

This Agreement shall remain in effect during the recruitment campaign and for a period of 30 days after its conclusion.

9. Termination

This Agreement may be terminated by either party upon written notice to the other party.

Remedies

10. Breach of NDA

In the event of a breach of this Agreement, the non-breaching party may seek legal remedies, including injunctive relief, and shall be entitled to recover damages.

General Provisions

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of California.

12. Entire Agreement

This Agreement constitutes the entire agreement between the parties regarding confidentiality.

13. Amendments

Any amendments to this Agreement must be in writing and signed by both parties.

14. Severability

If any part of this Agreement is found to be invalid, the remainder shall remain in effect.

15. Waiver

Failure to enforce any provision of this Agreement does not constitute a waiver of that provision.

16. Notices

Official notices under this Agreement shall be sent to the parties at the addresses and email addresses provided above.
