NON-SOLICITATION AGREEMENT
This Non-Solicitation Agreement (the "Agreement") is entered into as of June 10,2053 (the "Effective Date"), by and between:
[Your Company Name], a corporation organized and existing under the laws of the State of Florida, with its principal place of business located at [Your Company Address] (hereinafter referred to as the "Company").
[Second Party Name], an individual residing at [Second Party Address] (hereinafter referred to as the "Employee/Contractor").
Collectively, the Company and the Employee/Contractor may be referred to as the "Parties."
WHEREAS, the Employee/Contractor has or will have access to confidential information, customers, clients, and employees of the Company as part of their employment/contractor relationship with the Company.
WHEREAS, the Parties wish to protect the Company's legitimate business interests by prohibiting the Employee/Contractor from soliciting the Company's employees, customers, clients, or business relationships for a specified period following the termination of their employment/contractor relationship.
NOW, THEREFORE, in consideration of the promises and covenants contained herein, the Parties hereby agree as follows:
Non-Solicitation Covenant
During the term of the Employee/Contractor's employment/contractor relationship with the Company and for a period of 2 years after the termination of such relationship, for any reason, the Employee/Contractor agrees not to:
1.1. Solicit Employees
Directly or indirectly, solicit, recruit, or attempt to solicit or recruit any employee or former employee of the Company to leave their employment with the Company.
1.2. Solicit Customers/Clients
Directly or indirectly, solicit, divert, or attempt to solicit or divert any customer, client, or prospective customer or client of the Company for purposes of providing products or services that compete with those offered by the Company.
1.3. Solicit Business Relationships
Directly or indirectly, solicit, interfere with, or attempt to solicit or interfere with any business relationships, agreements, or contracts between the Company and its suppliers, vendors, or partners.
Geographic Scope
The restrictions set forth in Section 1 shall apply within the geographic area of a 50-mile radius of 25255 E Levy St., Williston FL 0006-8900.
Non-Compete
This Agreement does not constitute a non-compete agreement, and the Employee/Contractor is not prohibited from engaging in any business, profession, or employment for any other entity during or after their employment/contractor relationship with the Company.
Consideration
In consideration for the Employee/Contractor's agreement to the restrictions set forth herein, the Company agrees to provide the Employee/Contractor with a lump-sum payment as set forth in a separate agreement.
Enforcement
The Parties agree that any breach of this Agreement will result in irreparable harm to the Company, and the Company shall be entitled to seek injunctive relief, as well as any other remedies available at law or in equity.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflicts of laws principles
Entire Agreement
This Agreement contains the entire agreement between the Parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, and representations.
