TRAINING AGREEMENT
This Training Agreement ("Agreement") is made on this 1st of January 2050 by and between AB Training, a corporation duly registered and existing under the laws, with its principal office at 303 Redwood Avenue, Suite 56, Willowdale, TX 75004 hereinafter referred to as the "Training Provider", and Hellen Corp., a corporation duly registered and existing under the laws, with its principal office at 210 Serene Springs, Unit 55, Peaceful Place, OH 12345 hereinafter referred to the "Client".
1. TRAINING SERVICES
The Training Provider shall provide a Project Management Training Workshop, more particularly described in the Schedule annexed herewith (hereinafter referred to as "Training Services").
2. TERM
This agreement shall commence on January 1, 2050, and shall continue until January 1, 2055, unless sooner terminated in accordance with the terms set forth herein.
3. FEES AND PAYMENT
The Client shall pay to the Training Provider a fee as set out in the Schedule. Payment shall be due within 15 days from the date of the Training Provider's invoice.
4. CONFIDENTIALITY
Both parties agree to keep all the details of this Agreement and the Training Services strictly confidential and not disclose them to any third party without the prior written consent of the other party.
5. TERMINATION
Either party may terminate this Agreement by giving 30 days' notice in writing to the other party. In such event, the Client shall pay the Training Provider for all services rendered up to the date of termination.
6. INDEMNIFICATION
The Client agrees to indemnify and hold the Training Provider harmless against any and all claims, damages, liabilities, and expenses arising out of this Agreement or the provision of the Training Services.
7. FORCE MAJEURE
Neither party shall be liable for any delay or failure to perform its obligations under this Agreement due to circumstances beyond its reasonable control including, without limitation, acts of God, governmental actions, fires, floods, earthquakes, or other natural disasters.
8. GOVERNING LAW AND JURISDICTION
This Agreement shall be governed by and construed in accordance with the laws and the courts of Texas shall have exclusive jurisdiction over any dispute arising out of this Agreement.
