Professional Printable Service Agreement
This Printable Service Agreement (the "Agreement") is entered into on this 9th day of December 2050, by and between [Your Company Name], a company duly organized and existing under the laws of the State of Rhode Island, with its principal office located at [Your Company Address] (hereinafter referred to as the "Service Provider"), and Katherine Connel, representing GraceSpace, with an address at Providence, RI 02901 (hereinafter referred to as the "Client").
The purpose of this Agreement is to set forth the terms and conditions under which the Service Provider will deliver printing and related services to the Client.
I. Scope of Services
Description of Services
The Service Provider agrees to perform the following services for the Client:
High-quality printing services for brochures, flyers, business cards, and posters.
Finishing services, including lamination, binding, and trimming.
Delivery of final printed materials to the address specified by the Client.
Service Customization
The services shall be customized in accordance with the Client’s specifications, as provided in writing or through a signed quotation form prior to the commencement of work.
II. Deliverables
The Service Provider shall deliver the following:
Printed materials as described in the agreed order.
Packaging and labeling as requested by the Client.
Delivery of materials on or before the agreed timeline.
III. Payment Terms
Fees and Charges
The Client agrees to pay the Service Provider the total amount of $5,000 for services rendered, as outlined in the attached invoice or quotation.
Payment Schedule
Deposit: A non-refundable deposit of 50% of the total amount is due upon signing this Agreement.
Final Payment: The remaining balance is due upon delivery of the completed order.
Method of Payment
Payments shall be made by bank transfer, check, or any other method mutually agreed upon by both parties.
IV. Timeline and Deadlines
Service Period
The Service Provider will begin work on December 10, 2050, and complete the services by December 20, 2050, unless otherwise agreed in writing by both parties.
Delays
The Service Provider shall not be held liable for delays caused by the Client’s failure to provide timely approvals, materials, or payment.
V. Intellectual Property
The Service Provider retains all intellectual property rights to templates, designs, and proprietary printing techniques used in delivering the services. However, all printed materials specifically customized for the Client shall become the property of the Client upon full payment.
VI. Confidentiality
Both parties agree to keep all information related to the services confidential, including order specifications, pricing, and delivery details.
VII. Termination
This Agreement may be terminated under the following conditions:
By the Client: The Client may terminate this Agreement upon written notice to the Service Provider. Any deposit paid is non-refundable.
By the Service Provider: The Service Provider may terminate this Agreement if the Client fails to comply with the payment terms or any other material terms of this Agreement.
VIII. Limitation of Liability
The Service Provider’s liability for any damages arising out of this Agreement shall not exceed the total amount paid by the Client.
IX. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Rhode Island, without regard to its conflict of law principles.
X. Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements, discussions, and understandings.
XI. Amendments
Any amendments to this Agreement must be made in writing and signed by both parties.
