Agreement
THIS AGREEMENT is made this 1st day of May 2050, by and between (hereinafter "Client"), and [Your Name], a licensed contractor (hereinafter "Contractor")
1. SCOPE OF WORK
The Client wishes to have the Contractor perform certain work at certain locations. The Contractor hereby agrees to provide such Services to the Client as specified in the attached Schedule A, incorporated by reference herein.
2. COMPENSATION
The Client shall pay the Contractor for services on the following basis: Fixed price ($250,000) based on the contractor's bid. Any changes to the scope of the project agreed upon by both parties will result in a revision of this price in the form of a Change Order.
3. TERM AND TERMINATION
This agreement shall continue until completion and acceptance of the Services but in no event later than May 1, 2055 (5 years from Contract signing). Either party may terminate this agreement upon providing written notice to the other, not less than thirty (30) days before the effective date of such cancellation.
4. INSURANCE AND LIABILITY
The Contractor will provide proof of appropriate insurance coverage for the duration of the project to indemnify the Client for any liability or damage that may occur during the project's construction.
5. CONFIDENTIALITY
The Contractor shall keep confidential all non-public materials and information provided by the Client during the project's work unless the Client gives written permission.
6. WARRANTY
The Contractor will provide a warranty for a period of 12 months following the substantial completion of work, covering defects and failures in workmanship and materials.
7. FORCE MAJEURE
Neither party will be liable for any failure or delay in performance due in whole or in part to any cause beyond the reasonable control of such party or its contractors, agents, or suppliers.
