Team Collaboration Contract
Effective Date: June 10, 2050
Parties:
This Team Collaboration Contract Agreement (hereinafter referred to as the "Agreement") is entered into between:
SwiftScape Innovations, a company registered under the laws of Ohio, with its principal office located at Suburbia, USA 54321 (hereinafter referred to as the "Company").
Brown Derby, an independent entity or organization, with its principal office located at 716 Diamond Street, Charlotte, NC 28217 (hereinafter referred to as the "Collaborating Party").
Background:
The Company and the Collaborating Party recognize the value of collaboration to achieve common goals and objectives. This Agreement outlines the terms and conditions under which both parties will collaborate on specific projects or initiatives.
1. Purpose
The purpose of this Agreement is to establish a clear framework for collaboration between the Company and the Collaborating Party for the following project(s) or initiative(s):

2. Scope of Collaboration
2.1 Roles and Responsibilities
Both parties shall define their respective roles and responsibilities for each project/initiative. A detailed breakdown of roles and responsibilities is provided in Appendix A attached hereto.
2.2 Project/Initiative Deliverables
The expected deliverables, deadlines, and quality standards for each project/initiative shall be defined and documented in a separate project plan or statement of work (SOW), which will be attached as an annexure to this Agreement.
3. Term and Termination
3.1 Term
This Agreement shall commence on the Effective Date and continue until the completion of the last project/initiative defined herein, unless terminated earlier in accordance with the provisions of this Agreement.
3.2 Termination
Either party may terminate this Agreement with written notice if:

The other party materially breaches any provision of this Agreement and fails to remedy the breach within 60 days of receiving written notice thereof; or

Circumstances arise that make it impossible to fulfill the objectives of this Agreement.
4. Compensation and Expenses
4.1 Compensation
Details of compensation or financial arrangements related to each project/initiative shall be documented in the project plan or SOW as referenced in Section 2.2.
4.2 Expenses
The party incurring expenses in connection with a project/initiative shall be responsible for those expenses unless otherwise specified in the project plan or SOW.
5. Confidentiality
Both parties agree to treat all non-public information obtained during the collaboration as confidential and not to disclose such information to third parties without prior written consent, except as required by law.
6. Dispute Resolution
Any disputes arising out of or relating to this Agreement shall be resolved through good-faith negotiation between the parties. If a resolution cannot be reached, the parties may seek mediation or arbitration in accordance with the laws of North Carolina.
7. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of North Carolina, without regard to its conflict of law principles.
8. Entire Agreement
This Agreement, including any attached annexures or exhibits, constitutes the entire understanding between the parties concerning the subject matter hereof and supersedes all prior agreements and understandings, whether oral or written.
IN WITNESS WHEREOF, the parties hereto have executed this Team Collaboration Contract Agreement as of the Effective Date.
