DESIGN CONTRACT
This Interior Design Contract is made effective as of February 8, 2050, by and between [YOUR NAME], of [YOUR COMPANY NAME] the "Designer", and [Client's Name], of [Client's Address] the "Client".
1. Introduction
This contract outlines the terms and conditions under which the Designer will provide interior design services for the Client. The project will encompass the following location(s): [Location Address(es)], hereafter referred to as the "Project Site(s)."
2. Scope of Services
The Designer agrees to perform the interior design services described below:

Conceptual Design Development: Creating a conceptual design plan, including mood boards and color schemes based on the Client’s requirements and preferences.

Selection and Specification of Furnishings: Recommending furniture, fixtures, and equipment (FF&E), including specifications for materials, finishes, and colors.

Project Management: Coordinating with contractors and suppliers, overseeing the procurement and installation of design elements.
3. Design Phases
The project will be completed in the following phases:
3.1 Conceptual Design Phase:
During the Conceptual Design Phase, the Designer will collaborate with the Client to establish the project's vision, goals, and requirements. This phase includes the creation of mood boards, color schemes, and preliminary layout ideas. The Designer will present initial concepts to the Client for feedback and refinement. This phase is crucial for setting the direction of the entire project.
3.2 Detailed Design and Documentation Phase:
In the Detailed Design and Documentation Phase, the Designer will develop detailed floor plans, elevations, sections, and renderings. This phase includes the specification of materials, finishes, fixtures, and furnishings. Technical drawings and documents necessary for procurement and installation will be prepared. The Designer will also coordinate with contractors and consultants to ensure the design meets all applicable codes and regulations.
3.3 Procurement Phase:
The Procurement Phase involves the ordering, purchasing, and coordination of delivery for all furnishings, fixtures, and equipment specified in the design. The Designer will manage bids from vendors, place orders on behalf of the Client, and track the status of all orders to ensure timely delivery. Any necessary adjustments due to availability or lead times will be managed during this phase.
3.4 Installation and Completion Phase:
During the Installation and Completion Phase, the Designer oversees the installation of furniture, fixtures, and equipment at the project site. This includes coordinating with contractors and vendors to ensure all elements are correctly installed according to the design specifications. The Designer will conduct a final walk-through with the Client to ensure satisfaction, address any deficiencies, and officially close out the project.
4. Fees and Payment Schedule
Design Fee: The total fee for the design services provided will be $10,000, payable according to the following schedule:

25% ($2,500) upon contract signing. This initial payment secures the Designer's services and covers initial project expenses and the commencement of the Conceptual Design Phase.

25% ($2,500) upon completion of the Conceptual Design Phase. This payment is due upon the Client's approval of the conceptual design documents, including mood boards, color schemes, and preliminary layout plans, signifying the transition to the Detailed Design and Documentation Phase.

25% ($2,500) upon completion of the Detailed Design and Documentation Phase. This installment is due upon the Client's approval of all detailed drawings, specifications, and procurement-ready documents, signaling readiness for the Procurement Phase.

25% ($2,500) upon project completion. The final payment is due when the project is fully installed and all design elements are in place, following the final walk-through and the resolution of any outstanding items
5. Expenses
The Client will reimburse the Designer for necessary project-related expenses approved in advance by the Client, including but not limited to travel, shipping, and delivery charges.
6. Client Responsibilities
The Client agrees to:

Allow access to the Project Site(s) as necessary for the Designer to perform services.
7. Revisions and Approvals

The Client is entitled to two (2) sets of revisions at specified stages throughout the design process. These stages include the initial presentation of the Conceptual Design Phase and the Detailed Design and Documentation Phase. This policy ensures that the Client's feedback is incorporated and that the project aligns closely with their vision and requirements.

Additional revisions beyond these two sets will be charged at an hourly rate of $100 or an additional fee determined based on the scope of the requested changes. This fee compensates for the extra time and resources required to implement changes outside of the agreed-upon revision rounds.

The Client agrees to provide timely approvals on deliverables at each stage of the project to keep the project on schedule. Delays in approvals may result in project delays, and the Designer will communicate any potential impacts on the project timeline and costs. It is in the best interest of both parties to maintain clear and prompt communication regarding revisions and approvals to ensure the project's smooth progression and successful completion.
8. Ownership and Licensing of Design Materials
Upon final payment, the Client will own the final design deliverables. The Designer retains the right to use the project for promotional purposes.
9. Termination
Either party may terminate this contract with [Number] days written notice. Upon termination, the Client will pay for all services rendered up to the termination date.
10. Confidentiality
