Investment Contract

This Investment Contract ("Contract") is made and entered into as of January 15, 2055, by and between:

• [YOUR COMPANY NAME], a corporation duly organized and existing under the laws of the United States, with its principal office located at [YOUR COMPANY ADDRESS], hereinafter referred to as the "Investor"; and

• ApexCorp, a corporation duly organized and existing under the laws of the United States, with its principal office located at Chandler, AZ 85224, hereinafter referred to as the "Company."

RECITALS

WHEREAS, the Investor agrees to invest in the Company, and the Company agrees to accept such investment under the terms and conditions set forth in this Contract.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties hereto agree as follows:

I. DEFINITIONS

1. "Investment Amount" shall refer to the sum of $5,000,000 that the Investor agrees to invest in the Company.

2. "Equity Interest" refers to the percentage of ownership in the Company granted to the Investor in return for the Investment Amount.

3. "Term" refers to the duration of the investment as defined in Section III of this Contract.

II. INVESTMENT AND TRANSFER OF FUNDS

1. Investment Amount: The Investor agrees to invest $5,000,000 in exchange for 15% of the Company’s equity interest, as outlined in Schedule A.

2. Transfer of Funds: The Investor shall transfer the Investment Amount to the Company’s designated account as detailed in Schedule B on or before January 31, 2055.

III. TERM OF INVESTMENT

1. The Term of this investment shall be 5 years, beginning on February 1, 2055 and ending on January 31, 2060, unless extended or terminated earlier pursuant to the terms of this Contract.

2. Upon expiration of the Term, the Investor may either:

   • Sell its equity interest back to the Company at a mutually agreed-upon price, or

   • Retain its equity interest and continue its participation in the Company’s operations.

IV. RIGHTS AND OBLIGATIONS OF THE INVESTOR

1. The Investor shall have the right to:

   • Receive dividends or distributions from the Company as determined by the Company's Board of Directors.

   • Inspect the Company’s financial statements and records upon reasonable notice.

2. The Investor shall not have the right to:

   • Participate in the daily operations or management of the Company, unless specifically agreed upon by both parties.

V. RIGHTS AND OBLIGATIONS OF THE COMPANY

1. The Company shall:

   • Utilize the Investment Amount for the purposes outlined in Schedule C.

   • Provide the Investor with regular updates on the Company’s financial performance.

2. The Company shall not:

   • Use the Investment Amount for purposes outside those outlined in Schedule C, without prior written consent from the Investor.

VI. TERMINATION

1. This Contract may be terminated:

   • By mutual written agreement of the parties.

   • Upon a material breach by either party, with 30 days' notice.

2. Upon termination, the Company shall return any unused portion of the Investment Amount to the Investor, subject to applicable laws.

VII. CONFIDENTIALITY

1. Both parties agree to maintain the confidentiality of the terms of this Contract, the Company’s financial statements, and other proprietary information.

2. The confidentiality obligation shall survive the termination of this Contract.

VIII. DISPUTE RESOLUTION

1. In the event of a dispute arising out of this Contract, the parties agree to first attempt to resolve the dispute through informal negotiations.

2. If the dispute cannot be resolved through negotiations, it shall be settled by binding arbitration in Chandler, Arizona, in accordance with the rules of the American Arbitration Association.

IX. GOVERNING LAW

This Contract shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of laws principles.

X. ENTIRE AGREEMENT

This Contract contains the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions, understandings, or agreements, whether written or oral.
