Cleaning Contract

This Cleaning Services Contract ("Contract") is made effective as of [EFFECTIVE DATE], by and between [YOUR COMPANY NAME], of [YOUR COMPANY ADDRESS], hereinafter referred to as the ("Service Provider"), and [CLIENT’S NAME], of [CLIENT’S ADDRESS], hereinafter referred to as the ("Client").

1. SERVICES PROVIDED

The Service Provider has agreed to perform a series of cleaning roles for the property belonging to the Client. These chores encompass a range of tasks, including but not limited to; vacuuming the designated areas, dusting the specified zones, mopping the floors, and also cleaning the restrooms. These tasks are to be carried out according to a schedule that has been pre-determined - the [SCHEDULE], and are to be completed with a certain established regularity which has been specified as [FREQUENCY].

2. PAYMENT TERMS

For the services rendered by the Service Provider as required by this Contract, the Client will provide compensation to the Service Provider of [PAYMENT AMOUNT] due on the [PAYMENT DATE] of each month.

2.1 Costing Terms:

The total cost for the cleaning services outlined in this contract is $XXXX, payable monthly in advance via bank transfer. Payments are due on the first day of each month. Late payments exceeding seven days may incur a penalty fee of 5% of the outstanding amount.

2.2 Termination Clause:

Either party may terminate this contract by providing written notice of termination at least 30 days before the intended termination date. In the event of termination, the Client shall settle any outstanding payments for services rendered up to the termination date.

3. TERM

Under the terms of this contract, the role that the Service Provider is fulfilling is that of an independent contractor who is responsible for the provision of cleaning services. It is critical to note that their role should not be misconstrued as being that of an employee.

4.1 Liability and Insurance:

The Service Provider agrees to maintain appropriate liability insurance coverage throughout this contract and shall provide proof of insurance upon request by the Client. The Client shall not be liable for any injuries or damages incurred by the Service Provider or its employees while performing services under this contract.

4.2 Confidentiality Agreement:

The Service Provider agrees to maintain the confidentiality of all information obtained or observed during the provision of cleaning services, including but not limited to client records, business operations, and personal property. This obligation extends beyond the termination of this contract.

5. CONFIDENTIALITY

The Service Provider agrees that any information received that concerns the personal or business affairs of the Client will be treated by the Service Provider in strict confidence and will not be revealed to any other persons or entities.

6. INSURANCE

  • The Service Provider is accountable for providing, maintaining, and covering the financial expenses linked with any required insurance coverages that are essential and related to the provision of their services.

  • The Service Provider shall maintain comprehensive general liability insurance coverage, including coverage for bodily injury, property damage, and workers' compensation insurance for all employees engaged in providing cleaning services. The Service Provider will provide proof of insurance upon request by the Client.

  • The Service Provider shall be liable for any damages caused to the Client's property or third parties' property as a result of the negligence or misconduct of the Service Provider's employees during the provision of cleaning services. The Client shall promptly notify the Service Provider of any damages, and the Service Provider shall take necessary actions to rectify the situation promptly.

7. INDEMNIFICATION

The Service Provider will indemnify, defend, and protect the Client against any claims, damages, losses, and expenses arising out of or resulting from services provided under this contract.

8. JURISDICTION

The [GOVERNING JURISDICTION]'s laws will govern this contract; [DISPUTE RESOLUTION CENTER] will resolve disputes.

Dispute Resolution:

  • Any disputes arising out of or relating to this contract shall be resolved through mediation, conducted by a mutually agreed-upon mediator. The decision rendered in arbitration shall be final and binding on both parties.

Governing Law:
