Graphic Design Contract

This agreement, effective as of [Date] is entered into by and between [Your Name], with its principal office located at [Your Company Address] hereinafter, "Designer", and [Your Name], with its principal office located at [Your Company Address] hereinafter, "Client".

1. Services

The Designer has given their consent and agrees to engage in providing graphic design services, which are going to be described in more detail under Attachment A. Attachment A is integrated into this agreement through a referenced incorporation.

2. Compensation

For all Services to be rendered by the Designer, the Client agrees to compensate the Designer following the terms stated in Attachment B, which is incorporated herein by reference.

3. Delivery and Schedule

The Designer will make every effort to complete the Services by [Date] in a professional and timely manner. Client agrees to review Deliverables within 7 days after receiving each Deliverable from the Designer.

4. Ownership Rights

Upon receipt of full payment, the Designer grants the Client rights to use the Deliverables for its business purposes. The Designer retains the right to use the Deliverables for promotional purposes, portfolio, and professional competitions.

5. Confidentiality

Both parties agree to treat all information received from the other as confidential and shall not disclose such information to any third party without the prior written consent of the disclosing party.

6. Indemnification and Liability

Each party agrees to indemnify and hold harmless the other from any losses, claims, damages, liabilities, costs, or expenses caused by any negligent or willful act or omission of the indemnifying party.

7. Termination

This agreement holds the provision that it can be terminated by any of the concerned parties, provided that they issue a written notice of termination, and this notice shall be issued no later than 10 days before the intended termination.

8. Miscellaneous

This Agreement will be governed by and construed following the laws of Dallas, Texas.

This Agreement contains the entire agreement of the parties and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
