Contractor Contract
CONTRACTOR CONTRACT
This Contractor Contract ('Contract'), entered into on [Date] ('Effective Date'), between [Client's Name], having its principal place of business at [Client's Business Address] ('Client'), and [Your Company Name], having its principal place of business at [Your Company Address] ('Contractor'), and collectively referred to as the 'Parties'.
WHEREAS, the Contractor possesses special knowledge, skill, and abilities in the field of construction, and the Client wishes to engage the Contractor to provide these services, on the terms and conditions outlined in this Contract. Contractor agrees to provide such services.
1. SCOPE OF WORK
The Contractor shall provide construction services ('Services') as described in detail on the work order attached to this Contract as Exhibit A. All Services shall be completed in a professional and workmanlike manner.
2. TERM AND TERMINATION
This Contract will commence on [Start Date] and shall continue until [End Date] unless earlier terminated under the terms of this Contract.
3. COMPENSATION AND PAYMENT TERMS
Client shall pay Contractor for the Services at the rate outlined in Exhibit B, attached hereto. Payment will be due within thirty (30) days of the date of the Contractor’s invoice.
4. CONFIDENTIALITY
The Contractor acknowledges and agrees that all business, technical, and financial information Client constitutes valuable confidential information or trade secrets and the Contractor agrees to preserve and protect the confidentiality of such information.
5. WARRANTIES AND REPRESENTATIONS
The Contractor represents and warrants that Services performed under this Contract will be performed professionally and competently by the Client’s specifications.
6. NON-COMPETITION AND NON-SOLICITATION
During the term of this Contract and for two years following termination of this Contract, Contractor will not directly or indirectly engage in any business competitive to Client.
7. INDEMNIFICATION
The Contractor will indemnify and hold harmless the Client from any losses, claims, damages, expenses, or liabilities that it may incur based on information, representations, reports, data, or product specifications furnished, or services performed, by the Contractor under this Contract.
8. GOVERNING LAW AND VENUE
This COntract shall be governed by and construed by the laws of the state in which the work is performed.
