Basic Contract
CONSULTING SERVICES CONTRACT
This CONSULTING SERVICES CONTRACT (the "Contract") is entered into this [Date], (the "Effective Date"), by and between [YOUR COMPANY NAME], a corporation organized and existing under the laws of the [STATE] with its head office located at [YOUR COMPANY ADDRESS] (hereinafter: the "Client"), and [CONSULTANT'S NAME], with a professional address at [CONSULTANT'S ADDRESS] (hereinafter: the "Consultant"). Both are hereinafter collectively referred to as the "Parties".
1. SERVICES AND RESPONSIBILITIES
Consultant agrees to perform consulting services for Client as described in Attachment A ("Services"). Client agrees that Consultant shall have the sole and exclusive right to determine the method, details, and means of performing the Services.
2. TERM
This Contract shall commence on the Effective Date and will continue through [End Date] unless otherwise terminated earlier by the provisions of this Contract.
3. COMPENSATION
For the Services rendered by the Consultant under this Contract, the Client shall pay the Consultant the fees as outlined in Attachment B (“Fee Schedule”). The payment is due on the 24th of each month.
4. CONFIDENTIALITY
The Consultant agrees not to disclose any Confidential Information, as defined in Attachment C, of the Client during the term of this Contract and for three years following termination of this Contract.
5. INTELLECTUAL PROPERTY
All work products developed by the Consultant in connection with the Consultant's services to the Client shall be the sole and exclusive property of the Client.
6. TERMINATION
Either Party may terminate this Contract at any time upon providing thirty (30) days' written notice to the other Party. In case of breach of contract, the injured Party may terminate this Contract immediately.
7. INDEMNIFICATION
Each party agrees to indemnify and hold harmless the other party from any damage, loss, or expense arising from claims of third parties in connection with the activities of the indemnifying party under this Contract.
8. GOVERNING LAW
This Contract shall be governed by, and construed under, the laws of the [State].
This Contract has been duly executed by the Parties as of the Effective Date.
