1. Introduction

5. Terms of Employment:

Scope of Consignment: The Consignor agrees to consign the following goods: ten (10) assorted pieces of fine jewelry to the Consignee for retail sale.

Delivery and Inspection: The Consignor shall deliver the goods to the Consignee's premises on or before March 25, 2024. The Consignee shall inspect the goods upon delivery and notify the Consignor of any discrepancies or defects within three (3) business days.

Marketing and Sales: The Consignee shall use their best efforts to market and sell the consigned jewelry items diligently, both in-store and online, per industry standards.

Records and Reports: The Consignee shall maintain accurate records of all consigned goods, sales, and payments received, providing monthly reports to Smith & Co. Jewelry upon request.
6. Compensation and Benefits:

Commission: The Consignee shall be entitled to a commission of 20% of the net proceeds from the sale of consigned jewelry items.

Expenses: The Consignor shall be responsible for all expenses related to the consignment, including shipping and insurance.
7. Confidentiality and Non-Disclosure:

Confidential Information: Both Parties agree to keep confidential any proprietary or sensitive information disclosed during this agreement, including but not limited to jewelry designs, pricing, and customer lists.

Non-Disclosure: The Parties shall not disclose or use any confidential information for their benefit or the benefit of any third party without prior written consent from the disclosing Party.
8. Termination Conditions:

Termination: Either Party may terminate this Contract upon thirty (30) days written notice to the other Party for any reason or no reason at all.

Return of Goods: Upon termination, The Consignee shall promptly return any unsold consigned goods to The Consignor at The Consignee's expense.
9. Dispute Resolution:

Negotiation: In the event of any dispute arising out of or relating to this Contract, the Parties agree to first attempt to resolve the dispute through good-faith negotiation.

Mediation: If negotiation fails, the Parties agree to submit the dispute to mediation conducted by a mutually agreed-upon mediator.
10. Governing Law:
