Commission Contract
This Commission Contract for Sales and Marketing Services ("Contract"), made and entered into this [Date], by and between [Client's Name], with a primary address at [Client's Address], hereinafter referred to as the "Client", and [Your Name], with an address at [Your Company Address], hereinafter referred to as the "Sales Representative".
1. Appointment and Duties
The Client hereby appoints the Sales Representative, and the Sales Representative agrees to act as the Client's independent contractor to provide certain sales and marketing services described more fully herein.
2. Products and Services
The Sales Representative will make all commercially reasonable efforts to promote and sell the Client's products and services.
3. Commissions
For services rendered by the Sales Representative, they shall receive a sales commission from the Client. The rates shall be determined and may be adjusted from time to time under the agreed-upon [Amount]/hour rate.
4. Term and Termination
This Contract shall commence on the date hereof and continue until terminated by either party after giving the other party due notice as per 30 days.
5. Independent Contractor Status
The Sales Representative is an independent contractor, and nothing in this Contract should be interpreted as creating an employer-employee relationship.
6. Confidentiality
The Sales Representative shall keep confidential all non-public information regarding the Client and its business unless disclosure is required by law or approved in writing by the Client.
7. Non- Compete
During the term of this Contract and for 180 days thereafter, the Sales Representative shall not compete with the Client or act in any capacity for a company that does.
8. Indemnity and Limitation of Liability
Each party agrees to indemnify and hold the other harmless for any losses, claims, damages, awards, penalties, or injuries incurred, including reasonable attorney's fees.
9. Governing Law
This Contract shall be governed by and construed under the laws of North Carolina.
10. Entire Agreement
This Contract encompasses the entire agreement of the parties and supersedes all previous understandings and agreements, if any.
