Small Business Contract

This agreement is made on this 11th day of September, 2050 between [Your Company Name], a business entity organized under the laws of its residence with its principal place of business at [Your Company Address], represented by [Your Name], hereinafter referred to as the "Bakery," and the individual freelance graphic designer Jessica Clark with an address at 456 Design Lane, Oakville, hereinafter referred to as the "Designer." The Bakery and the Designer are together referred to as the "Parties."

1. SCOPE OF SERVICES

The Designer agrees to provide the Bakery graphic design services ("Services"). These services include creating a new logo, updating the Bakery's current website, and designing marketing materials for the Bakery as per defined in Schedule A attached herewith.

2. TIMELINES

The individual who is responsible for designing, hereafter referred to as the Designer, is required to present the completed versions of each assigned task. These tasks must be submitted while adhering to the timeline that has been explicitly specified within Schedule B.

3. COMPENSATION

In exchange for the services provided by the Designer, the Bakery agrees to provide a complete compensatory payment. The aggregate amount of this payment has been detailed and outlined in Schedule C of this contract. The Bakery is responsible for ensuring that this payment is made on or before the predetermined date noted as October 15, 2050.

4. TERMS OF PAYMENT

The Designer will be responsible for issuing invoices, and it is then expected that these will be paid within 30 days after they have been received. If the payments are not made within this timeframe, there will be consequent penalties. The details of such penalties are outlined in Schedule D.

5. DELIVERABLES

The professional responsible for creating the requested work, herein referred to as the Designer, will deliver the completed product to the Bakery. These completed products, known as the final deliverables, will adhere to the specific format requirements for delivery which have been previously outlined in a document referenced as Schedule E.

6. OWNERSHIP OF WORK PRODUCT

Once the full payment has been thoroughly fulfilled, the Bakery will be the sole proprietor of the Work Product. This implies that the Bakery will hold all exclusive privileges concerning its application, as thoroughly stipulated and defined in the terms and conditions listed under Schedule F.

7. CONFIDENTIALITY

Both entities involved in this agreement have given their mutual consent to maintain the secrecy of all confidential information they acquire from one another. They pledge not to disclose the aforementioned information to anyone not involved in their agreement, including any third parties. This non-disclosure agreement stipulates that the confidential information will remain secret unless both parties provide express prior approval in written form for its release.

8. TERM AND TERMINATION

The commencement of this Agreement will take place on the date that is indicated above, and the Agreement will persist in its validity and remain in effect unless there is termination by either the first party or the second party. The specific conditions regarding this potential termination have been organized and presented comprehensively within 'Schedule G', under the section labeled 'Termination Clause'.

9. DISPUTE RESOLUTION

This Agreement shall be governed by the laws of the State of Illinois. Any disputes arising out of this Agreement, if not resolved between the Parties, shall be referred to binding arbitration to a single arbitrator as detailed in 'Schedule H - Dispute Resolution Process.'
