EVENT AGREEMENT CONTRACT
This Event Contract (the “Contract") made and entered into this day, [Enter Date], (the "Effective Date"), by and between [Your Company Name], with its principal place of business at [Your Company Address], represented by [Your Name], hereinafter referred to as "Party A", and [Party B Name], with its principal place of business at [Party B Address], represented by [Party B Representative Name], hereinafter referred to as "Party B", collectively referred to as “the Parties”.
1. PERFORMANCE
Party B agrees to provide services as a musician, vendor, or sponsor for the event organized by Party A on a date at the location as per the schedule outlined in “Schedule A”, which forms an integral part of this Agreement.
2. PAYMENT TERMS
As compensation for the services rendered by Party B under this Agreement, Party A shall pay Party B the sum as detailed under “Exhibit B”, by the Payment Schedule therein.
3. LIABILITIES AND INDEMNIFICATION
Party B assumes all responsibility for loss or damage resulting from any act or failure to act by Party B or any of Party B’s agents or employees. Party B agrees to indemnify and hold harmless Party A against any legal claims arising from Party B's performance.
4. TERMINATION
This Agreement can be terminated by either party involved, where they are allowed to do so within the specified Notice Period, following the provision of a written notice. The grounds for this termination are typically a violation of the obligations set by the opposing party. It is mandatory for the party involved to address and rectify these violations within the designated period.
5. FORCE MAJEURE
If the performance of either party is delayed or there is a failure to perform according to the agreed terms, neither party will be held liable if the cause of this delay or failure is due to circumstances that were unforeseen and beyond the reasonable control of the party that is not able to perform.
6. DISPUTE RESOLUTION
In the event of any disputes or disagreements arising under this Agreement, it is agreed that the preferred method of resolution will be to engage in binding arbitration. This process will be governed and directed according to the specific rules, guidelines, and regulations stipulated by the [Specify the Arbitration Body].
7. AMENDMENT AND WAIVERS
Should there be any amendment or waiver of any term in this Agreement, it will not be considered effective or applicable, unless it has been put into a written form and has gotten an authorized signature from the respective party. 8. GOVERNING LAW
