SALES COMMISSION CONTRACT

This Product Supply Agreement (hereinafter referred to as the "Agreement") is entered into this [DATE] (the "Effective Date") by and between:

PARTY A:

[Your Company Name], Having its principal place of business at [Your Company Address], Registered under the number [Your Company Number], Represented by [Your Name], Hereinafter referred to as the "Manufacturer",

PARTY B:

[Distributor's Company Name], Having its principal place of business at [Distributor's Company Address], Registered under the number [Distributor's Company Number], Represented by [Distributor's Representative Name], Hereinafter referred to as the "Distributor".

Both parties shall collectively be referred to as the 'Parties' and individually as the 'Party'.

PURPOSE OF AGREEMENT

This Agreement sets forth the terms and conditions upon which the Manufacturer agrees to manufacture and sell to the Distributor a bulk order of customized smartphones (hereinafter the "Products"), and the Distributor agrees to purchase, distribute, and sell such Products from the Manufacturer.

QUANTITY

The Parties agree that the Manufacturer will supply a total quantity of [SPECIFIED QUANTITY] units of the Products to the Distributor.

PRODUCT SPECIFICATIONS

The Products supplied to the Distributor shall meet the specifications outlined in Exhibit A attached hereto, which is hereby incorporated into this Agreement by reference.

PRICING AND PAYMENT TERMS

All prices are as specified in Exhibit B attached hereto. Payments are to be completed no later than [DATE] from the date of invoice issue. The Distributor shall make all payments to the Manufacturer's bank account specified in the Invoice.

DELIVERY SCHEDULE

The delivery schedule shall be as per Exhibit C attached hereto. The date of delivery for the Products is [SPECIFIED DATE] unless otherwise agreed upon in writing by both Parties.

TERMS AND TERMINATION

This Agreement shall become effective on the Effective Date and continue until [DATE] unless terminated earlier as provided in this Agreement.

MISCELLANEOUS

This Agreement is governed by the laws of the United States. Each Party irrevocably and unconditionally submits to the exclusive jurisdiction of the courts of [JURISDICTION].
