Recruitment Agency Contract
RECRUITMENT AGENCY CONTRACT
This agreement ("Agreement") is made effective as of [Date] between [YOUR COMPANY NAME], located at [YOUR COMPANY ADDRESS] ("Agency"), and [Candidate Name], located at [Candidate Address] ("Candidate").
1. Services
1.1 Recruitment Services Agreement
The Agency agrees to provide recruitment services to the Candidate to identify and present candidates for employment opportunities.
1.2 Scope of Services
The services provided may include but are not limited to candidate sourcing, screening, interviewing, reference checking, and presenting qualified candidates to the Candidate.
1.3 Candidate Cooperation
The Candidate agrees to provide necessary information and cooperation to the Agency to facilitate the recruitment process.
2. Fees and Payments
2.1 Fee Agreement
The Candidate agrees to pay the Agency fees for the services rendered as outlined in the Fee Schedule attached hereto as Appendix A.
2.2 Payment Terms
Payment terms shall be net 30 days from the date of invoice unless otherwise agreed upon in writing by both parties.
2.3 Late Payment and Interest Charges
In the event of late payment, the Agency reserves the right to charge interest on the outstanding amount at a rate of 10 % per month.
3. Candidate Placements
3.1 Notification of Successful Candidate Placement
Upon successful placement of a candidate referred by the Agency, the Candidate agrees to notify the Agency promptly and provide details of the offer extended to the candidate.
3.2 Post-Placement Responsibilities and Liability
The Agency shall not be held responsible for any actions or decisions made by the candidate post-placement.
4. Confidentiality
4.1 Confidentiality Agreement
Both parties agree to maintain the confidentiality of all information exchanged during the recruitment process.
4.2 Definition of Confidential Information
Confidential information includes but is not limited to candidate resumes, client lists, and business strategies.
4.3 Survival Clause for Confidentiality Obligations
This confidentiality obligation shall survive the termination of this Agreement.
5. Term and Termination
5.1 Term of Agreement
This Agreement shall commence on the effective date and shall continue until terminated by either party with 30 days' written notice.
5.2 Termination Clause
Either party may terminate this Agreement immediately in the event of a material breach by the other party.
6. Governing Law
This Agreement shall be governed by and construed by the laws of [Jurisdiction].
7. Entire Agreement
This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral.
8. Amendments
Any amendments to this Agreement must be made in writing and signed by both parties.
9. Severability
If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
10. Counterparts
