Recruitment Agency Contract
This Recruitment Agency Contract ("Contract") is made and entered into on this 12th day of December 2050, by and between [Your Company Name], with its principal office located at [Your Company Address], ("Recruiter"), and Reyes Bayer, an individual residing at Garland, TX 75040, acting on behalf of Invogorance, ("Client"). Collectively referred to as the "Parties."
I. Purpose of the Contract
The purpose of this Contract is to establish the terms and conditions under which the Recruiter will provide recruitment services to the Client in accordance with the specifications and requirements set forth herein. The Recruiter agrees to assist the Client in identifying, evaluating, and placing qualified candidates for employment with the Client's organization.
II. Scope of Services
Recruitment Process
The Recruiter shall conduct a comprehensive recruitment process, which includes, but is not limited to:

Advertising job openings across appropriate platforms.

Sourcing potential candidates.

Screening and interviewing candidates.

Presenting suitable candidates to the Client for review.

Arranging interviews between the Client and candidates.

Assisting in negotiating employment offers.
Confidentiality and Non-Disclosure
Both Parties agree to maintain confidentiality regarding the information exchanged throughout the recruitment process. This includes but is not limited to, proprietary information, candidate details, and any other confidential data obtained during the course of this agreement.
III. Fees and Payment Terms
The Client agrees to pay the Recruiter a fee as outlined in the following terms:

Placement Fee: The Recruiter will charge a percentage of the first year’s salary of the candidate hired by the Client, which will be agreed upon separately in a fee schedule.

Payment Terms: Payments are due within 30 days of the candidate’s start date.

Late Payments: Any late payment will incur a penalty of 1.5% per month on the outstanding balance.
IV. Term and Termination
Term of Agreement
This Contract shall remain in effect for a period of one year from the date of execution unless terminated earlier by either Party in accordance with the provisions set forth below.
Termination for Convenience
Either Party may terminate this Contract for convenience with 30 days’ written notice to the other Party. Upon such termination, the Client agrees to pay for all services rendered up until the termination date.
Termination for Cause
Either Party may terminate this Contract immediately upon written notice if the other Party breaches any material term of the Contract and fails to remedy such breach within 15 days of receiving notice of the breach.
V. Governing Law
This Contract shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles.
VI. Dispute Resolution
In the event of any dispute or claim arising out of or relating to this Contract, the Parties agree to attempt to resolve the matter through negotiation and mediation. If the matter cannot be resolved through these means, the dispute will be resolved through binding arbitration in Texas.
