Payroll Accounting Services Agreement
This Agreement is entered into by and between [Your Company Name] (hereinafter referred to as "Company") and [Your Partner Company Name/Second Party] (hereinafter referred to as "Partner").
1. Scope Of Services
The Company has made an agreement to provide certain services, under the terms of which the Partner, on the other side, has also agreed to procure the same services that the Company will provide. The explicit details of the services that will be rendered by the Company are detailed in the Annexure I, which is attached and made an integral part of this agreement for all intents and purposes.
2. Responsibilities
Both parties involved in this agreement have mutually agreed that they will diligently fulfill their respective roles and responsibilities. These said roles and responsibilities that each party has agreed to shoulder are comprehensively detailed in the document referred to as Annexure II, which is attached with this agreement for easy reference.
3. Service Fees
The Partner and the Company have agreed that a certain service fee will be paid by the Partner to the Company for their services. The exact amount of this service fee will be [insert fee], which the Partner agrees to pay. The Company will take on the responsibility of billing the Partner for this fee on a monthly basis. Upon receipt of each invoice, the Partner commits to providing payment to the Company within a maximum period of 30 days.
4. Compliance
Both of the involved parties, as they are bound by this Agreement, officially give their consent and commitment to follow and conform to all applicable laws, rules, standards, and regulations that are associated with, or directly relate to, the contents of this Agreement. If either party fails to comply with, observe, or respect these laws, rules, and regulations, such failure will constitute as a valid reason for the immediate termination of this Agreement, without the need for further warnings or reminders.
5. Confidentiality
Both parties involved in this Agreement have mutually agreed that they will maintain the confidentiality of any information they obtain, in any form, during the course of carrying out the obligations stated in this Agreement. This encompasses all information, without exception, obtained during the execution of the duties and rights stated in this Agreement.
6. Liability and Errors
The responsibility for any inaccuracies, mistakes, or errors that come about as a result of the execution of this Agreement will be taken on and shouldered by the party who is found accountable for making the error. However, this stipulation does not apply in cases where different provisions, exceptions, or scenarios were mentioned in Annexure III of this Agreement.
7. Data Security
Both parties involved in this Agreement, swear and affirm their commitment to implement, without deviation, the measures for data security as meticulously outlined in Annexure IV. The primary aim of such commitment being the safeguarding of all digital information, that may be exchanged, shared, or transmitted between these parties at any given point, throughout the entire duration of this Agreement.
8. Termination
This Agreement allows the option for termination by either party involved. Such decision must be communicated through a notice that is written form, which has to be delivered to the other party a minimum of 30 days prior to the desired termination date. Additionally, there are further conditions under which this Agreement may be terminated. These specific conditions are laid out in detail within Annexure V.
9. Dispute Resolution
Should any disagreements or conflicts arise from or in connection with this Agreement, they will be addressed and resolved according to the resolution mechanism that is explicitly outlined in Annexure VI of the document.
10. Amendments
This Agreement possesses the potential for modifications, alterations, or amendments, given that such changes are mutually agreed upon and consented to by each of the parties involved.
