This Non-Disclosure Agreement ("Agreement") is made and entered into effective as of [Effective Date]. The Disclosing Party and the Receiving Party may be referred to individually as a "Party" and collectively as the "Parties."
This Agreement serves to protect the confidentiality of information exchanged between the Parties for the purpose of a mutual business objective or project as described herein.
Purpose
The purpose of this Agreement is to permit the Disclosing Party to disclose confidential information related to marketing product photography to the Receiving Party for the objective of [Objective or Project Description].
I. Definitions
A. "Confidential Information"
Confidential Information shall include all data, materials, products, technology, computer programs, specifications, manuals, business plans, software, marketing plans, business plans, financial information, and other information disclosed or submitted, orally, in writing, or by any other media.
II. Obligations
A. Non-Disclosure
Receiving Party agrees to maintain all Confidential Information in strict confidence and shall not disclose or disseminate it to any third party without the Disclosing Party's written consent.
B. Authorized Disclosure
Receiving Party may disclose Confidential Information only to those of its employees or contractors who need to know such information for the Project.
III. Exclusions
The obligations under this Agreement do not apply to information that is publicly known at the time of its disclosure, or becomes publicly known through no fault of the Receiving Party.
IV. Return of Materials
Upon completion or termination of the Project, Receiving Party shall return all originals, copies, and summaries of Confidential Information or certify its destruction in writing.
V. Duration
This Agreement shall remain in effect for a period of [Duration] from the Effective Date, unless otherwise terminated by either Party in writing.
VI. General Provisions
A. Governing Law
This Agreement shall be governed in all respects by the laws of [Governing State/Country].
B. Entire Agreement
