Marketing Image Rights Notice

1. Introduction

This Image Rights Notice ("Notice") is a legally binding document between [Your Company Name], hereinafter referred to as the "Company," and any individual or entity providing or featured in marketing images, hereinafter referred to as the "Subject." This Notice outlines the terms and conditions governing the use, distribution, and protection of images for marketing purposes.

2. Grant of Rights

The Subject hereby grants the Company an irrevocable, worldwide, non-exclusive license to use, reproduce, distribute, and display the images provided by the Subject for marketing and promotional activities. This license includes the right to edit, modify, or alter the images as necessary for marketing purposes.

3. Duration of Rights

The granted rights are effective from the date of acceptance of this Notice and continue perpetually unless otherwise terminated in writing by either party. In the event of termination, the Company shall cease using the images within a reasonable timeframe.

4. Exclusivity

The Subject acknowledges that this license is non-exclusive, allowing the Company to use, reproduce, and distribute the images without restrictions. The Subject retains the right to grant similar licenses to other parties.

5. Ownership

The Subject acknowledges that, except as expressly provided in this Notice, the Company owns all rights, title, and interest in and to the images, including any modifications made by the Company.

6. Usage Restrictions

The Company agrees to use the images solely for marketing and promotional purposes related to its products or services. Any usage beyond the scope of this license requires prior written consent from the Subject.

7. Compensation

Unless otherwise agreed upon in writing, the Subject agrees that the company will provide no compensation for the use of images under this Notice.

8. Release and Waiver

The Subject releases the Company from any claims or liabilities arising out of the use, reproduction, or distribution of the images, including any unintended or unauthorized use.

9. Governing Law

This Notice shall be governed by and construed by the laws of Philadelphia. A mediator will resolve any disputes arising under or in connection with this Notice through arbitration per the rules of the JAMS Philadelphia Mediation, Arbitration, and ADR Services.

10. Acceptance

By providing images to the Company for marketing purposes, the Subject acknowledges having read, understood and agreed to the terms and conditions outlined in this Image Rights Notice.
