Marketing New Product Research Contract
This Marketing New Product Research Contract ("Contract") is entered into on June 10, 2050 (the "Effective Date"), by and between:

CenterMax, is a corporation organized and existing under the laws of California, with its principal place of business located at Piercy, CA 95587 (hereinafter referred to as the "Research Agency").
Collectively, the Client and the Research Agency shall be referred to as the "Parties."
1. Background
The Client is engaged in the development and marketing of various products and desires to conduct market research for its new product, described as "Fizz-O" (the "New Product"). The Research Agency possesses expertise in market research services and is willing to provide such services to the Client, subject to the terms and conditions herein.
2. Scope of Work
2.1 Services: The Research Agency shall provide the following services (the "Services"):

Conduct market research to assess the potential demand, target market, and competitive landscape for the New Product.

Analyze consumer preferences, trends, and behavior related to products similar to the New Product.

Provide a comprehensive research report outlining the findings, insights, and recommendations.
2.2 Delivery: The Research Agency shall deliver the research report to the Client within 90 Days of the Effective Date.
2.3 Budget: The Client shall compensate the Research Agency for the Services as outlined in Section 4 (Payment Terms).
3. Confidentiality
Both Parties acknowledge and agree that any information shared during the course of this Contract, including but not limited to product details, research methodologies, and findings, is considered confidential.
The Parties shall maintain the confidentiality of such information and not disclose it to any third party without the prior written consent of the other Party.
4. Payment Terms
In consideration of the Services provided, the Client shall pay the Research Agency the total sum of $100,000. Payment shall be made as follows:
Initial Payment: An initial payment of $20,000 shall be made within 7 days of the Effective Date.
Final Payment: A final payment of $80,000 shall be made within 30 days of the delivery of the research report.
5. Ownership of Deliverables
The research report and all deliverables provided by the Research Agency under this Contract shall become the exclusive property of the Client. The Client may use, reproduce, distribute, or modify the deliverables for its business purposes.
6. Term and Termination
This Contract shall commence on the Effective Date and shall continue until the Services are completed and payment is received in full unless earlier terminated in accordance with the provisions herein.
Either Party may terminate this Contract upon written notice to the other Party if:

The other Party breaches any material term or condition of this Contract and fails to cure such breach within 15 days of receiving written notice thereof.

Either Party becomes insolvent, files for bankruptcy, or undergoes a change in control.

Upon termination, the Client shall pay the Research Agency for any Services completed up to the termination date, and the Research Agency shall promptly deliver any completed research materials.
7. Governing Law
This Contract shall be governed by and construed in accordance with the laws of California. Any disputes arising out of or relating to this Contract shall be subject to the exclusive jurisdiction of the state and federal courts located in California.
