Operations Waste Management Contract

This Operations Waste Management Contract ("Contract") is made and entered into on [Month, Day, Year], by and between [Your Company Name], with its principal place of business located at [Your Company Address] ("Client"), and [Your Partner Company Name / Second Party], with its principal place of business located at [Your Partner Company Name / Second Party Address] ("Service Provider").

WHEREAS, the Client is engaged in [describe nature of Client's operations] and generates various types of waste in its operations; and

WHEREAS, the Service Provider is in the business of providing waste management services, including but not limited to the collection, transportation, disposal, and recycling of waste; and

WHEREAS, the Client desires to engage the Service Provider to manage and dispose of waste generated from its operations in accordance with the terms and conditions set forth herein;

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties hereto agree as follows:

1. SCOPE OF SERVICES

The Service Provider shall provide the waste management services as described in Exhibit A attached hereto and made a part hereof. Such services shall include the collection, transportation, disposal, and recycling of the Client’s waste in compliance with all applicable federal, state, and local laws and regulations.

2. TERM AND TERMINATION

This Contract shall commence on [Start Date] and shall continue in full force and effect until [End Date] unless sooner terminated as provided herein. Either party may terminate this Contract upon [number] days written notice to the other party.

3. COMPENSATION

In consideration for the services rendered by the Service Provider under this Contract, the Client agrees to pay the Service Provider [detailed fee structure], as detailed in Exhibit B attached hereto.

4. COMPLIANCE WITH LAWS

The Service Provider shall conduct all operations and services under this Contract in compliance with all applicable laws, regulations, and ordinances.

5. INSURANCE

The Service Provider shall maintain at its own expense the types and amounts of insurance specified in Exhibit C attached hereto.

6. INDEMNIFICATION

Each party agrees to indemnify, defend, and hold harmless the other party and its officers, employees, agents, and representatives from any and all claims, liabilities, damages, and expenses arising from the performance of this Contract, except for actions caused by the negligence or willful misconduct of the indemnified party.

7. DISPUTE RESOLUTION

Any disputes arising out of or related to this Contract shall be resolved through mediation; if mediation is unsuccessful, disputes shall be resolved through binding arbitration.

8. MISCELLANEOUS

This Contract constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter of this Contract.
