6. Termination and Modification

Both parties retain the right to terminate this Agreement. Termination requests must be submitted in writing and require a 30-day notice period, ensuring a smooth transition and conclusion of the Agreement.

6.2 Modification

The Provider reserves the prerogative to update and refine the loyalty program's terms and conditions. Any alterations will be promptly communicated to Members through email, providing transparent and timely notification of changes.

7. Liability and Indemnification

7.1 Responsibilities

Responsibilities of the Provider:

  • Provide Members with accurate and up-to-date information about the loyalty program, including benefits, rewards, and program changes.

  • Ensure the proper functioning of the loyalty program's technical infrastructure, including the points tracking system and member communication.

  • Protect Member data and privacy in accordance with our Privacy Policy.

  • Address Member inquiries, concerns, and complaints in a timely and respectful manner.

  • Regularly review and update the loyalty program to enhance the Member experience.

  • Adhere to all applicable laws and regulations governing loyalty programs.

Responsibilities of the Member:

  • Comply with the terms and conditions of the loyalty program as outlined in this Agreement and any additional rules and guidelines provided by the Provider.

  • Keep your contact information, including email, up to date to receive program-related communications.

  • Safeguard your loyalty program account and inform the Provider immediately of any unauthorized access or suspicious activity.

  • Use your loyalty points and rewards responsibly and in accordance with program rules.

  • Provide accurate and truthful information when enrolling in the loyalty program.

  • Abide by all applicable laws and regulations when participating in the loyalty program.

7.2 Indemnification

The Provider shall not be held liable for any claims arising from Member actions. Members agree to indemnify and hold the  Provider harmless from any and all such claims, including legal costs and expenses incurred in the defense of such claims, thereby ensuring that the Provider is not responsible for any adverse consequences resulting from Member actions.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

9. Dispute Resolution

In the event of a dispute arising from or related to this Agreement, the parties agree to submit the matter to binding arbitration in accordance with the rules and procedures of the American Arbitration Association. This arbitration shall take place in California, and the decision of the arbitrator(s) shall be final and binding on both parties.

10. Miscellaneous

10.1 Entire Agreement

This Agreement represents the comprehensive and exclusive understanding between the Provider and the Member, encompassing all aspects of the loyalty program. It supersedes and replaces all prior oral or written agreements, negotiations, understandings, or representations between the parties. The clarity and completeness of this Agreement are designed to ensure that both the Provider and the Member have a clear framework for their relationship within the loyalty program.

10.2 Severability

In the event that any provision of this Agreement is determined to be invalid, unenforceable, or unlawful by a court of competent jurisdiction, such provision shall be considered severed from this Agreement, but the remaining provisions shall continue to be valid and enforceable to the fullest extent permitted by law. This provision underscores the intent to preserve the Agreement's validity and effectiveness in the event of any legal challenge to one or more of its provisions.
