Operations Supplier Quality Service Level Agreement (SLA)
This Operations Supplier Quality Service Level Agreement (hereinafter referred to as the "Agreement") is made and entered into as of [date] by and between [Your Company Name], a corporation organized and existing under the laws of [Your Jurisdiction], with its principal place of business located at [Address] (hereinafter referred to as the "Company"),
and
[Supplier], a corporation organized and existing under the laws of [Supplier's Jurisdiction], with its principal place of business located at [Address] (hereinafter referred to as the "Supplier") (collectively referred to as the "Parties").
1. DEFINITIONS
For the purposes of this Agreement, the following terms shall have the meanings set forth below:
"Services" means any services provided by the Supplier under this Agreement.
"Performance Standards" means the performance metrics and objectives set forth in this Agreement, against which the Supplier's performance will be assessed.
2. SERVICES
2.1 The Supplier agrees to provide the Services as outlined in the attached Schedule A to this Agreement.
2.2 The Supplier shall ensure that the Services are performed with due care, skill, and diligence, and in accordance with industry best practices.
2.3 The Supplier will meet or exceed the Performance Standards in the delivery of these Services.
2.4 The Parties may agree to modify or amend the scope of Services through written agreement. Any such modifications or amendments shall be attached to this Agreement as Schedule A addendums.
3. PERFORMANCE MEASUREMENT AND REVIEW
3.1 The Company will regularly review the Supplier's performance against the Performance Standards.
3.2 In the event of non-compliance with the agreed Performance Standards, the Supplier shall take immediate corrective action to rectify the deficiency.
3.3 If the Supplier's non-compliance persists despite corrective measures, the Company reserves the right to terminate this Agreement, subject to the terms of Section 6 (Term and Termination).
3.4 Performance reviews shall be conducted on a [frequency] basis, with the results documented and shared with both Parties for review and discussion.
4. CONFIDENTIALITY
4.1 Both Parties agree that all materials and information shared in relation to the Services are confidential.
4.2 Each Party shall take all reasonable measures to protect the confidentiality of the other Party's confidential information and shall not disclose such information to any third party without prior written consent, except as required by law.
4.3 The obligations of confidentiality shall survive the termination of this Agreement.
5. COMPENSATION
5.1 The Company shall compensate the Supplier for the Services provided, as specified in Schedule B attached to this Agreement.
5.2 Any changes to the compensation structure must be mutually agreed upon in writing by both Parties.
5.3 Invoicing and payment procedures shall be detailed in Schedule B, including the frequency of invoicing, payment terms, and any applicable taxes or fees.
6. TERM AND TERMINATION
6.1 This Agreement shall commence on [Date], and shall continue until terminated by either Party upon one (1) month's written notice to the other Party.
6.2 Either Party may terminate this Agreement immediately in the event of a material breach by the other Party, subject to the provisions of Section 6.3.
6.3 Upon termination of this Agreement, the Supplier shall promptly return any Company property or confidential information in its possession, custody, or control.
7. GOVERNING LAW
7.1 This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction].
7.2 Any dispute arising out of or in connection with this Agreement shall be resolved through amicable negotiation between the Parties. If a resolution cannot be reached, the dispute shall be submitted to binding arbitration in accordance with the rules of [Arbitration Institution].
