Marketing Media Event Contract
THIS AGREEMENT ("Contract") is entered into this [Date, e.g., "1st day of January 2050"],
BETWEEN:

AND
[Event Organizer Name], an entity duly organized and existing under the laws of [State/Country, e.g., "California"], with its registered address at [Event Organizer Address], herein represented by [Event Organizer Representative's Name], in the capacity of [Event Organizer Representative's Position, e.g., "Event Manager"], hereinafter referred to as the "Organizer";
WHEREAS, the Company desires to host a marketing media event and the Organizer possesses the expertise and capability to organize and manage such an event;
NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties hereto agree as follows:
I. Description of Event:
The Organizer agrees to produce and manage a marketing media event, described as follows:
A. Event Name: The event shall be titled "[e.g., "Tech Innovators Expo"]".
B. Event Date: The event is scheduled to be held on [e.g., "15th March 2050"].
C. Location: The chosen venue for the event is [e.g., "Downtown Convention Center, City, Country"].
D. Purpose: The primary objective of this event is [e.g., "To showcase leading tech innovations and foster industry connections."].
The parties hereto acknowledge and agree to the aforementioned details about the event.
II. Terms of Payment:
The Company acknowledges the value and expertise the Organizer brings to the execution of the event; It is agreed upon by the parties hereto as follows:
A. Event Management Fee:
The Company agrees to compensate the Organizer a sum of [$XXX, e.g., "$10,000"] for the services rendered in relation to the production and management of the event.
B. Payment Schedule:
The payment structure shall be bifurcated as:

An upfront amount of 50% of the total fee, amounting to [$XXX, e.g., "$5,000"], payable immediately upon the execution and signing of this Contract.

The balance 50%, amounting to [$XXX, e.g., "$5,000"], shall be paid upon the successful completion of the event.
C. Additional Expenses:
In the event there are additional out-of-scope expenses incurred by the Organizer during the execution of the event, the Company agrees to reimburse the Organizer for such expenses. Such reimbursements shall be made upon the presentation of valid receipts and the Company’s verification of the same.
III. Responsibilities of Organizer:
The organizer shall undertake the following responsibilities:
A. Event Venue and Permits: The Organizer is entrusted with the task of securing the event venue, and ensuring its availability on the scheduled date. Furthermore, the Organizer shall obtain all requisite permits and licenses essential for the successful execution of the event.
B. Logistical Coordination: The Organizer shall be responsible for coordinating all logistical elements of the event, which includes but is not limited to arranging appropriate lighting, ensuring sound quality, and overseeing the stage setup to meet the event's requirements.
C. Event Promotion: The Organizer shall actively promote the event across relevant media channels, ensuring that the event garners maximum visibility and attendance. Such promotional activities should align with the brand values and objectives of the Company.
D. Coordination with Participants: The Organizer shall take on the responsibility of liaising with guest speakers, exhibitors, and sponsors. This includes coordinating their schedules, managing their needs during the event, and ensuring their active participation.
IV. Responsibilities of Company:
The company shall undertake the following responsibilities:
A. Provision of Event Content: The Company shall be responsible for providing all content essential for the event. This includes, but is not limited to, branding materials, brochures, presentations, and any other pertinent information or resources. Such content should be delivered to the Organizer promptly to ensure smooth operations.
B. Approval of Promotional Materials: Before any distribution or public display, all promotional materials related to the event, developed by the Organizer or its associates, must be approved by the Company. This is to ensure that the materials maintain brand consistency and align with the Company's values and image.
V. Cancellation Policy:
In the event of cancellation, the following terms shall apply:
A. If the Company cancels the event 30 days prior, a cancellation fee of 25% of the total contract amount shall be due to the Organizer.
B. Cancellations within 15 days will incur a 50% fee.
VI. Confidentiality:
Both parties agree not to disclose any confidential information obtained during the course of this contract to any third party without written consent.
VII. Limitation of Liability:
The Organizer’s liability under this contract shall be limited to the total fee payable under this contract.
VIII. Force Majeure:
Neither party shall be held liable for any delays or failures in performance due to circumstances beyond their control, including but not limited to natural disasters, strikes, or governmental restrictions.
IX. Governing Law:
This Contract, including its formation, interpretation, performance, breach, termination, and any disputes arising out of it, shall be governed by and construed in accordance with the laws of [State/Country, e.g., "California"], without regard to its conflict of law principles. Both parties hereby agree to submit to the exclusive jurisdiction of the courts located within [State/Country, e.g., "California"] for any legal actions, suits or proceedings arising out of this Contract. Notwithstanding the foregoing, either party may seek injunctive relief in any court of competent jurisdiction. The parties further acknowledge and agree that this clause explicitly sets forth their intentions regarding the manner and venue of resolving any disputes arising from this Contract.
X. Dispute Resolution:

XI. Entire Agreement:
