This Marketing Analytics Software Non-Disclosure Agreement ("Agreement") is entered into on this [Date], by and between:

I. Purpose

A. Protection
The Disclosing Party seeks to protect its Confidential Information from unauthorized disclosure or use.
B. Obligation
The Receiving Party is willing to receive the Confidential Information and agrees to maintain its confidentiality.
II. Definitions
"Confidential Information" shall mean all information disclosed by the Disclosing Party to the Receiving Party, including but not limited to:

IV. Obligations of Employees and Agents
A. Notification: The Receiving Party shall notify its employees and agents who may have access to Confidential Information of their obligations under this Agreement.
B. Enforceability: The Receiving Party shall ensure that its employees and agents are bound by written agreements or obligations to protect the confidentiality of the Confidential Information.
V. Exceptions
A. Information Not Confidential: The obligations set forth in this Agreement shall not apply to any information that:

Is or becomes publicly available through no breach of this Agreement.

VI. Return of Confidential Information

VII. Term and Termination
