Email Marketing New Year Agreement
This Email Marketing New Year Agreement (the "Agreement") is made and entered into as of [month-day-year], by and between [Client Name], an individual residing at [Client Address], hereinafter referred to as the "User," and [Your Company Name], a corporation organized and existing under the laws of the state, with its principal place of business located at [Your Company Address], hereinafter referred to as the "Company" (collectively, the "Parties").

1. Purpose of the Agreement

2. Services Provided

4. Data Protection and Privacy
4.1 Both parties shall comply with all applicable data protection and privacy laws.

5. Intellectual Property
5.1 Any materials, data, and creative work produced as part of the Services remain the intellectual property of Company, unless otherwise agreed in writing.
6. Liability and Indemnity
6.1 Company's liability shall be limited as set forth in Appendix C.
6.2 User agrees to indemnify Company against any and all claims, damages, or losses incurred.
7. Termination and Effects
7.1 Either party may terminate this Agreement as described in Appendix D.
7.2 Upon termination, outstanding payments become immediately due.
8. Governing Law and Jurisdiction
8.1 This Agreement is governed by the laws of the jurisdiction detailed in Appendix E.
9. Miscellaneous
9.1 Any changes to this Agreement must be made in writing and signed by both parties.
9.2 This Agreement constitutes the entire understanding between the parties.
10. Entire Agreement
10.1 This Agreement constitutes the entire agreement between the Parties concerning the subject matter hereof and supersedes all prior negotiations, understandings, and agreements, whether oral or written. Any amendments or modifications to this Agreement shall be in writing and signed by both Parties.
10.2 If any provision of this Agreement is found to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not be affected or impaired.
