WHEREAS, the Disclosing Party possesses certain confidential and proprietary information related to lead generation and management;
WHEREAS, the Receiving Party desires to receive and access this confidential information for the purpose of lead exchange and further cooperation;
NOW, THEREFORE, in consideration of the premises and the mutual covenants contained herein, the Parties agree as follows:

Confidential Information: For the purposes of this Agreement, "Confidential Information" shall refer to any non-public information, data, documents, software, reports, business strategies, marketing plans, financial data, or any other information disclosed by the Disclosing Party to the Receiving Party.

Non-Disclosure: The Receiving Party shall maintain the confidentiality of the Confidential Information and shall not, without the prior written consent of the Disclosing Party, disclose or provide access to the Confidential Information to any third party.

Use of Confidential Information: The Receiving Party shall use the Confidential Information solely for the purpose of lead exchange and management, as well as any further cooperation outlined in separate agreements, and for no other purpose.

Protection of Confidential Information: The Receiving Party shall employ reasonable measures to protect the confidentiality of the Confidential Information, and not less than the same degree of care it uses to protect its own confidential information.

Non-Compete: During the term of this Agreement and for a period of 2 years after its termination, the Receiving Party shall not engage in any business activities that compete with the Disclosing Party's lead generation and management services.

Return of Information: Upon the request of the Disclosing Party or upon the termination of this Agreement, the Receiving Party shall promptly return or destroy all copies of Confidential Information in its possession.

Term: This Agreement shall commence on the Effective Date and shall remain in effect for a period of 2 years from that date.

Termination: This Agreement may be terminated by either Party upon written notice to the other Party if a material breach of this Agreement occurs and is not remedied within 60 days.
