Sales Affiliate Lead Generation NDA
THIS AGREEMENT is made and entered into this ____ day of _______________, ("Effective Date"), between:

AND
[Receiving Party's Name], an individual or entity organized and existing under the laws of [Receiving Party's Jurisdiction], with its principal place of business located at [Receiving Party's Address], hereinafter referred to as the "Receiving Party").
WHEREAS, the Disclosing Party has engaged the Receiving Party as a Sales Affiliate for lead generation purposes, and in the course of this engagement, the Receiving Party may have access to sensitive and proprietary information of the Disclosing Party; and
WHEREAS, the Disclosing Party desires to ensure the protection and preservation of its confidential and proprietary information.
NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto agree as follows:
1. Purpose
1.1 Engagement as Sales Affiliate: The Disclosing Party has engaged the Receiving Party as a Sales Affiliate for the purpose of lead generation.
1.2 Confidential Information: The Receiving Party will have access to confidential and proprietary information ("Confidential Information") of the Disclosing Party, which is vital for the performance of its duties as a Sales Affiliate.
2. Definition of Confidential Information
2.1 Scope of Confidential Information: For the purpose of this Agreement, "Confidential Information" shall include, but not be limited to:
(a) Information obtained from password-protected areas of [Your Company Name]’s website or database;
(b) Information marked or designated by [Your Company Name] as Confidential; and
(c) Information, whether oral or written, relating to [Your Company Name]’s customers, leads, vendors, business strategies, financial information, and any other proprietary information.
3. Obligations and Restrictions
3.1 Confidentiality Obligation: The Receiving Party agrees to:
(a) Maintain all Confidential Information in strict confidence;
(b) Not disclose any of the Confidential Information to any third party without the prior written consent of the Disclosing Party; and
(c) Not use the Confidential Information in any way, directly or indirectly, detrimental to the interests of [Your Company Name].
4. Exceptions
4.1 Non-Confidential Information: Notwithstanding the foregoing, Confidential Information shall not include information that:
(a) Is or becomes generally available to the public other than as a result of a breach of this Agreement by the Receiving Party;
(b) Is rightfully obtained by the Receiving Party from a third party without breach of any confidentiality obligation; or
(c) Is independently developed by the Receiving Party without reference to or use of the Confidential Information.
5. Duration and Termination
5.1 Term: This Agreement shall remain in effect for a period of [DURATION] from the Effective Date, unless terminated earlier in accordance with the provisions herein.
5.2 Termination: This Agreement may be terminated:
(a) Upon completion of the services by the Receiving Party;
(b) Upon written notice by either party; or

6. Governing Law and Jurisdiction
