This Emergency Plans Non-Disclosure Agreement ("Agreement") is entered into on [April 9, 2053], ("Effective Date"), by [Your Company Name] ("Disclosing Party") and [Your Partner Company Name] ("Receiving Party"). The purpose of this Agreement is to protect confidential information related to emergency plans and procedures, which may include but is not limited to, evacuation plans, crisis management strategies, and other sensitive information that is shared by the parties.
1. Definition of Confidential Information:
"Confidential Information" refers to any information, data, documents, or materials, whether oral, written, or electronic, that is disclosed by the Disclosing Party to the Receiving Party and is marked as confidential or disclosed in a manner that a reasonable person would understand to be confidential. Confidential Information may include, but is not limited to, emergency response plans, contact lists, security procedures, and any other information related to emergency preparedness.
2. Non-Disclosure Obligations:
2.1 The Receiving Party shall use its best efforts to protect the confidentiality of the Confidential Information and to prevent its unauthorized disclosure or use.
2.2 The Receiving Party shall treat all Confidential Information with the same degree of care as it uses to protect its own confidential information, which shall not be less than a reasonable standard of care.
2.3 The Receiving Party shall only use the Confidential Information for the purpose of enhancing emergency preparedness and shall not use it for any other purpose without the prior written consent of the Disclosing Party.
2.4 The Receiving Party shall only disclose the Confidential Information to its employees, contractors, or agents who have a legitimate need to know the information for the purpose specified in this Agreement, and who are bound by confidentiality obligations similar to those set forth herein.
3. Exceptions:
3.1 Disclosure Required by Law: In the event that the Receiving Party is legally compelled to disclose any Confidential Information, it shall promptly notify the Disclosing Party in writing before such disclosure and shall cooperate with the Disclosing Party to seek a protective order or other appropriate remedy.
3.2 Permitted Disclosures: The Receiving Party may disclose Confidential Information to the extent necessary to comply with any applicable laws, regulations, or government authorities.
4. Term and Termination:
4.1 Term: This Agreement shall remain in effect for one (1) year, unless terminated earlier as provided herein.
4.2 Termination: Either party may terminate this Agreement upon written notice to the other party if it believes that the other party has breached any of its obligations under this Agreement.
5. Miscellaneous:
5.1 Entire Agreement: This Agreement contains the entire understanding of the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether oral or written.
5.2 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state of [California], without regard to its conflict of law principles.
