Sales Training Material NDA

This Sales Training Material Non-Disclosure Agreement ("Agreement") is entered into on this [October 27, 2050], by and between:

and

[Recipient's Name], with an address at [Recipient's Address], hereinafter referred to as the "Recipient."

Collectively, the Disclosing Party and the Recipient may be referred to as the "Parties."

WHEREAS, the Disclosing Party possesses and will provide certain confidential and proprietary sales training materials, information, and documents (hereinafter collectively referred to as the "Confidential Information") to the Recipient.

NOW, THEREFORE, in consideration of the mutual promises contained herein, the Parties agree as follows:

I. Definition Of Confidential Information

"Confidential Information" shall include, but is not limited to, any and all written, electronic, or oral information, training materials, documents, data, proprietary software, customer lists, business strategies, financial information, marketing plans, and any other information provided by the Disclosing Party to the Recipient during the course of the sales training.

II. Obligations Of The Recipient

The Recipient agrees to:

1. Keep all Confidential Information strictly confidential and not disclose it to any third party without the prior written consent of the Disclosing Party.

2. Use the Confidential Information solely for the purpose of participating in and benefiting from the sales training provided by the Disclosing Party.

3. Take all necessary measures to prevent unauthorized access, disclosure, or use of the Confidential Information.

III. Permitted Disclosures

The obligations of confidentiality shall not apply to any portion of the Confidential Information that:

1. Was known to the Recipient prior to disclosure by the Disclosing Party.

2. Becomes publicly known through no fault of the Recipient.

3. Is rightfully received by the Recipient from a third party without any obligation of confidentiality.

IV. Duration Of The Agreement

This Agreement shall be in effect from the Effective Date and shall continue for a period of [Duration] years from the Effective Date unless terminated by the Disclosing Party or Recipient, or as otherwise agreed upon in writing by both Parties.

V. Consequences Of Breach

In the event of a breach of this Agreement, the Disclosing Party may seek injunctive relief, monetary damages, or both as a remedy for any breach, in accordance with applicable laws.

VI. Jurisdiction And Governing Law

This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction]. Any legal action or proceeding arising out of or relating to this Agreement shall be submitted to the exclusive jurisdiction of the state and federal courts located within [Jurisdiction].
