Health & Safety Training Confidentiality NDA 

This Non-Disclosure Agreement (“Agreement”) is entered into as of [Month Day, Year] by and between [Your Company Name], with its principal place of business at [Your Company Address] (“Disclosing Party”), and [Second Party], residing at [Second Party Address] (“Receiving Party”), collectively referred to as the “Parties.”

1. Purpose

The Receiving Party shall participate in the Health & Safety Training Programs conducted by the Disclosing Party. The purpose of this Agreement is to prevent the unauthorized disclosure of Confidential Information as defined below.

2. Definition of Confidential Information

For purposes of this Agreement, “Confidential Information” shall include all data, materials, and information related to the health and safety training programs, including but not limited to training content, methods, processes, and any sensitive information related to employees or the company.

3. Obligations of the Receiving Party

The Receiving Party agrees to:

1. Maintain the confidentiality of the Confidential Information.

2. Not disclose, reproduce, or distribute any part of the Confidential Information to any third party.

3. Use the Confidential Information solely for the purpose of participating in the Health & Safety Training Programs.

4. Notify the Disclosing Party immediately upon discovery of any unauthorized use or disclosure of Confidential Information.
   

4. Exclusions from Confidential Information

Confidential Information shall not include information that:

1. Is or becomes publicly known through no fault of the Receiving Party.

2. Is received from a third party without a breach of an obligation of confidentiality.

3. Was independently developed by the Receiving Party without use of or reference to the Disclosing Party’s Confidential Information.

5. Term

The obligations of this Agreement shall survive for a period of [30 Days] after the conclusion of the Health & Safety Training Programs.

6. Return of Confidential Information

Upon termination of the Health & Safety Training Programs or upon Disclosing Party’s written request, the Receiving Party shall return or destroy all copies of Confidential Information in their possession.

7. No License

Nothing contained herein shall be construed as granting or implying any transfer of rights to the Receiving Party in the Confidential Information, or any patents or other intellectual property protecting or relating to the Confidential Information.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of [California].

9. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements, whether written or oral, relating to the subject matter hereof.
