Background

Agreement
In consideration of the mutual covenants contained herein and other good and valuable consideration, the Parties hereby agree as follows:
1. White Label Arrangement
a. Product Distribution: The Supplier agrees to provide the Products to the White Label Partner on a white label basis. The White Label Partner shall have the exclusive right to distribute and sell the Products under its own brand.
b. Branding: The White Label Partner shall have the right to rebrand the Products, including but not limited to, affixing its logo, packaging, and labels, to the Products.
a. Quality Control: The Supplier shall maintain the quality and standards of the Products and shall ensure that the Products meet industry standards.
2. Pricing and Payment
a. Pricing: The Parties shall agree upon the pricing structure for the Products, including wholesale prices and any discounts, in writing, and may be subject to change with mutual agreement.
b. Payment Terms: Payment terms and conditions shall be agreed upon separately in a pricing agreement or invoice issued by the Supplier.
3. Orders and Delivery
a. Order Placement: The White Label Partner shall submit orders for the Products to the Supplier as needed, with specifications for quantity, delivery dates, and any other relevant details.
b. Delivery: The Supplier shall use reasonable efforts to fulfill orders promptly and deliver the Products to the White Label Partner's designated location. Any delivery costs and timelines shall be discussed and agreed upon in advance.
4. Marketing and Promotion
a. Marketing: The White Label Partner shall be responsible for marketing and promoting the Products under its brand. The Supplier may provide marketing materials and support as agreed upon in writing.
5. Confidentiality
a. Confidential Information: Both Parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of this Agreement.
6. Term and Termination
a. Term: This Agreement shall commence on the effective date and continue until terminated by either Party with written notice.
b. Termination: Either Party may terminate this Agreement for material breach by the other Party, provided written notice is given and the breaching Party is allowed a reasonable cure period.
7. Miscellaneous
