HEALTH & SAFETY COMMITTEE NDA
This Health & Safety Committee Non-Disclosure Agreement ("Agreement") is entered into on this 9th of April, 2053 (the "Effective Date") between:

("Disclosing Party")
and

[Your Partner Company Name / Second Party Address]
("Receiving Party").
The Disclosing Party and the Receiving Party may collectively be referred to as the "Parties."
WHEREAS, the Disclosing Party is engaged in activities related to health and safety, and the Receiving Party is participating in a Health & Safety Committee (the "Committee");
WHEREAS, the Parties may disclose certain confidential and proprietary information to each other in connection with the activities of the Committee;
NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the Parties agree as follows:
1. Confidential Information
a. The term "Confidential Information" shall mean any and all non-public information, data, reports, plans, strategies, and materials disclosed by one Party (the "Disclosing Party") to the other Party (the "Receiving Party") in connection with the activities of the Committee.
b. Confidential Information may be disclosed orally, in writing, electronically, or through any other means.
2. Non-Disclosure
a. The Receiving Party agrees to maintain the confidentiality of all Confidential Information received from the Disclosing Party and to use such Confidential Information solely for the purpose of participating in the Committee.
b. The Receiving Party shall not disclose, reproduce, or use the Confidential Information for any other purpose without the prior written consent of the Disclosing Party.
3. Exceptions
a. The obligations of non-disclosure shall not apply to information that:
i. Is already known to the Receiving Party prior to disclosure.
ii. Becomes publicly known through no fault of the Receiving Party.
iii. Is independently developed by the Receiving Party without the use of Confidential Information.
iv. Is required to be disclosed by law or court order; provided, however, that the Receiving Party shall promptly notify the Disclosing Party of such required disclosure to enable the Disclosing Party to seek a protective order or other appropriate remedy.
4. Return of Information
Upon the written request of the Disclosing Party or upon termination of the Committee, the Receiving Party shall promptly return or destroy all Confidential Information and provide written certification of such return or destruction.
5. Duration
This Agreement shall remain in effect for the duration of the Committee and for a period of 2 years thereafter.
6. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles.
IN WITNESS WHEREOF, the Parties hereto have executed this Health & Safety Committee Non-Disclosure Agreement as of the Effective Date.
