Sales Contract for Event Catering Services
This Contract is entered into [Month Day, Year ]by [Your Company Name], a distinguished provider of culinary excellence and event catering services, who, from this point forward, shall be referred to as the "Caterer." The contract is made with the esteemed [Client Name], a full-service event planning and coordination enterprise that shall henceforth be known as the "Client." The purpose of this binding agreement is to delineate the terms under which the Caterer will provide food and beverage services for the event specified herein, managed and hosted by the Client.
WHEREAS, the Client desires to engage the services of the Caterer to provide food and beverage services for an event described herein; and
WHEREAS, the Caterer is in the business of providing catering services and agrees to provide such services under the terms and conditions set forth in this Contract;
NOW, THEREFORE, in consideration of the mutual covenants and promises hereinafter set forth, the parties hereto agree as follows:
1. Engagement and Services
1.1 The Client formally engages the Caterer, who accepts the commission to prepare and serve an assortment of food and beverages for the Client's specified event, [Event Name] ("Event").
1.2 The Event is scheduled to occur at [Grandiose Ballroom, Celestial Resort] on [Month Day, Year].
1.3 The Caterer is responsible for providing comprehensive catering services, including the preparation, presentation, and distribution of food and beverages, and managing all logistical aspects to ensure seamless service throughout the Event.
2. Menu and Services
2.1 The Caterer shall supply a varied selection of gourmet dishes and beverages as detailed in Exhibit A, attached hereto and forming an integral part of this agreement.
2.2 The selection includes, but is not limited to, appetizers, main courses, desserts, and a diverse range of beverages tailored to the preferences of the Event's guests.
2.3 The Caterer is also obligated to provide full service from the initial setup phase through to the final cleanup post-Event, ensuring a smooth and uninterrupted service flow.
3. Guest Count
3.1 The services provided under this Contract are designed to cater to an estimated two hundred (200) guests.
3.2 The Client is required to furnish the Caterer with the final headcount no later than fourteen (14) days prior to the Event date.
3.3 This final headcount is crucial for the Caterer to finalize preparations and ensure adequate provisioning for all attendees, in accordance with the highest standards of culinary satisfaction and service excellence.
4. Payment Terms
4.1 The Client shall compensate the Caterer a sum of Twenty Thousand Dollars ($20,000) for the completion of the services stipulated within this agreement.
4.2 The schedule for payment distribution shall be strictly adhered to as detailed in Exhibit B, which is hereby incorporated into this Contract by reference.
5. Cancellation Policy
5.1 In the event that the Client decides to cancel the Event, notification must be provided to the Caterer no fewer than thirty (30) days before the scheduled Event date to qualify for a complete refund of any deposits made.
5.2 Cancellations made subsequent to this period will result in the Client forfeiting their deposit as liquidated damages, acknowledging the potential loss and preparation costs incurred by the Caterer due to such cancellation.
6. Liability and Insurance
The Caterer commits to securing and upholding, at their own expense, comprehensive liability insurance coverage. This insurance will cover significant sums to mitigate against potential liabilities arising from injuries or fatalities of individuals, and damages to property, directly associated with the Caterer's operations under this Contract.
7. Compliance with Law
The Caterer guarantees that all food preparation, handling, and service activities will conform to the prevailing food service regulations, health, and safety standards applicable to the jurisdiction of the Event. This compliance underscores the Caterer’s commitment to upholding the highest standards of food safety and public health.
8. Governing Law
This Contract, and all matters arising from it, shall be governed by and construed in accordance with the laws of the state in which the Event is to be held. This clause applies without giving effect to any choice or conflict of law provisions that would cause the application of laws of any jurisdiction other than that of the state in which the Event is held.
