1. Introduction

This Maintenance and Repair Services Contract ("Contract") is entered into on [Effective Date], by and between [Client Name], located at [Client Address] ("Client"), and [Your Company Name], located at [Your Company Address] ("Mechanic"), collectively referred to as the "Parties."

2. Parties

2.1 Client

3. Effective Date

4. Services

4.1 Description

The Mechanic shall provide maintenance and repair services for the Client's [Description of Equipment/Vehicles], including but not limited to:

  • Regular maintenance checks, including oil changes, tire rotations, and fluid level inspections.

  • Diagnostic services to identify and address mechanical and electrical issues.

  • Mechanical repairs, including engine, transmission, and brake system repairs.

  • Electrical repairs, including wiring, lighting, and electronic component repairs.

  • Parts replacement with OEM (Original Equipment Manufacturer) or approved aftermarket parts.

  • Performance tuning for optimal vehicle performance and efficiency.

4.2 Schedule

The maintenance and repair services shall be performed during the Mechanic's regular business hours, which are [Business Hours], Monday through Friday. Emergency services outside of regular business hours may be provided at an additional cost upon request and availability.

4.3 Deliverables

The Mechanic shall deliver the following:

  • Completed maintenance and repair services as agreed upon.

  • Detailed reports outlining the work performed, including parts replaced, labor hours, and any recommendations for future maintenance or repairs.

5. Payment

5.1 Fees

The Client shall pay the Mechanic the agreed-upon fees for the services rendered, as outlined in the attached Service Fee Schedule, which includes labor rates, parts costs, and any additional fees for emergency services or specialized equipment usage.

5.2 Schedule

Payment shall be made within [Number of Days] days of receipt of the invoice. Invoices shall be issued upon completion of services or as otherwise agreed upon by both Parties.

5.3 Late Payment

In the event of late payment, the Client shall be subject to a late fee of [Late Fee Percentage]% of the outstanding balance per [Late Fee Duration]. The Mechanic reserves the right to suspend services or withhold deliverables until payment is received in full.

6. Term and Termination

The Mechanic grants the Client a non-exclusive license to use any intellectual property developed or provided as part of the maintenance and repair services solely for the Client's internal purposes.

7.3 Confidentiality

Both Parties agree to keep confidential any proprietary or sensitive information disclosed during the provision of services under this Contract, including but not limited to trade secrets, customer data, and technical information.

8. Indemnification

The Client agrees to indemnify and hold the Mechanic harmless from any claims, damages, or liabilities arising out of or related to the Client's use of the maintenance and repair services, including but not limited to personal injury, property damage, or third-party claims.

9. Warranties and Guarantees

The Mechanic warrants that all maintenance and repair services shall be performed in a professional and workmanlike manner, following industry standards and manufacturer specifications. Any defects or deficiencies shall be promptly remedied by the Mechanic at no additional cost to the Client. Additionally, any parts provided by the Mechanic shall be covered by the manufacturer's warranty, where applicable.

10. Dispute Resolution

10.1 Process

Any disputes arising out of or relating to this Contract shall be resolved through negotiation and mediation in good faith between the Parties. If mediation is unsuccessful, either Party may pursue legal remedies available under the laws of [Jurisdiction].

10.2 Governing Law

This Contract shall be governed by and construed by the laws of [Jurisdiction], without regard to its conflict of law principles.

11. Miscellaneous

11.1 Entire Agreement
