Advertising Mobile Ad Placement Agreement
This Agreement is made effective as of [Month, Day, Year], by and between [Your Company Name], herein referred to as the "First Party," and [Your Partner Company Name], herein referred to as the "Second Party."
1. Purpose
The First Party agrees to place mobile advertisement services for the Second Party, primarily aimed at enhancing the latter's brand visibility and customer outreach through targeted advertising.
2. Ad Placement Specifications
2.1. The First Party agrees to create and deploy interactive banner advertisements and video ads for the Second Party.
2.2. Each advertisement will have a duration of thirty (30) seconds.
2.3. The advertisements will be displayed daily from [10:00 AM to 10:00 PM], local time, to maximize viewer engagement.
3. Placement Period
The duration of ad placement services shall commence on [Month, Day, Year], and shall conclude on [Month, Day, Year ], unless extended by mutual agreement.
4. Payment Terms
4.1. For the services rendered, the Second Party shall compensate the First Party a sum of two hundred fifty thousand (250,000) dollars.
4.2 This amount will be payable in two equal installments; the first installment of one hundred twenty-five thousand (125,000) dollars is due at the initiation of the campaign, and the remaining one hundred twenty-five thousand (125,000) dollars is payable upon the campaign's successful completion.
5. Reporting and Analytics
The First Party will provide comprehensive weekly reports to the Second Party. These reports will detail the performance metrics of the advertisements, including but not limited to impressions, click-through rates, and overall engagement statistics.
6. Content Creation
The First Party will be responsible for the development and design of the advertisement content. However, such content is subject to the Second Party's review and final approval before deployment.
7. Termination
This Agreement may be terminated by either party, provided a written notice is delivered to the other party at least fourteen (14) days in advance of the intended termination date.
8. Confidentiality
Both parties that are involved in this Agreement hold an obligation to secure and uphold the confidentiality not just of the terms that have been laid down within this Agreement, but also any information that is proprietary in nature that they may exchange over the duration or term of this Agreement.
9. Liability
The party identified as the First Party in this agreement wants to make it clear that they are not accepting any responsibility or liability for any losses or damages that might be suffered by the party identified as the Second Party. These hypothetical losses or damages could be indirect and might come about as a result of the content of any advertisements involved in this agreement, or they could be a result of where and how these advertisements are placed. Regardless of the source of these potential losses or damages, the First Party will not accept responsibility for them.
10. Governing Law
The Agreement mentioned hereby will be overseen and interpreted through the lens and in adherence with the state laws of [State Name]. This will take place regardless and irrespective of the principles related to conflict of laws that may exist within the state. Therefore, the legislation of [State Name] is what will determine the understanding and implementation of this Agreement.
This Agreement represents the entire understanding between the parties with respect to its subject matter and supersedes all prior or contemporaneous agreements, either oral or written. Any amendments or modifications to this Agreement must be in writing and signed by both parties.
