STAFFING AGENCY CONTRACT

This Staffing Agency Contract ("Contract") is entered into on this [Date], by and between [Your Company Name], a [State] Corporation with its principal place of business located at [Your Company Address] ("Agency"), and [Client Company Name], a [State] Corporation with its principal place of business located at [Address] ("Client").

1. Introduction

This Contract sets forth the terms under which the Agency agrees to provide specialized staffing services to the Client, and the Client agrees to obtain and compensate these services.

2. Services Provided

The Agency shall recruit, screen, and present candidates to the Client who possess the specialized skills as specified by the Client's needs. The services shall include, but are not limited to:

  • Identifying candidates with the required specialized skills.

  • Conducting preliminary interviews and assessments.

  • Verifying references and qualifications.

  • Presenting qualified candidates to the Client for consideration.

3. Term of Agreement

This Contract shall commence on March 1, 2050, and shall continue in full force and effect until February 28, 2051, or until terminated as provided herein.

4. Payment

Payment terms for the services provided under this Contract are as follows:

  • The Client shall pay the Agency a fee calculated as 25% of the first year's annual salary for each candidate hired.

  • Payment is due within 30 days of the candidate's start date.

5. Confidentiality

The two parties involved in this Contract have reached a mutual agreement that any and all information pertaining to candidates, as well as business practices, shall be maintained in a condition of strict confidentiality. They are committed to adhering to this rule unless the aspect of legal requirement arises, or if the said information is deemed necessary to fulfill the obligations set forth in the performance of this Contract.

6. Liability

The Agency is to be held under no circumstances accountable or liable for any damages resulting from the provision of candidates. This encompasses direct, indirect, incidental, or consequential damages that may arise. Nonetheless, the exception involves situations in which gross negligence or willful misconduct is evident. In such cases, the Agency may potentially be held liable.

7. Termination

Either party may terminate this Contract with 30 day's written notice to the other party. Upon termination, the Client shall pay the Agency for all services rendered up to the termination date.

8. Governing Law

This Contract shall be governed by the laws of the State of [State], without regard to its conflict of law principles.

9. Dispute Resolution

Should there be any disagreements or disputes that occur under this Contract, it is mandated that they should first be addressed and attempted to be resolved through the process of mediation. Only when mediation fails to provide a result or solution shall parties consider escalating the matter to the level of arbitration or resort to litigation in a court of law.

10. Amendments

This Contract is subject to amendments or modifications only when a written document, carrying the signatures of both parties involved, is put forth and authenticated.

11. Entire Agreement

This Contract represents the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements, either written or oral.
