Design Freelance Contract

This Design Services Agreement (the “Agreement") is entered into this [DATE] (the “Effective Date") between [Your Name] (the "Designer"), having its principal place of business at [Your Company Address] and [Client's Name] (the “Client"), having its principal place of business at [Client's address]. The parties may collectively be referred to as “Parties".

1. Scope of Work

1.1 Description:

The Designer agrees to provide design services for the renovation of the client's residential kitchen. This includes conceptualizing layout options, selecting materials, creating detailed blueprints, and providing guidance throughout the construction phase.

1.2 Deliverables:

The Designer will deliver the following to the Client:

  • Three initial kitchen layout options based on client preferences and functional requirements.

  • Finalized kitchen layout and elevation drawings.

  • Selections of materials including cabinetry, countertops, flooring, backsplash, and fixtures.

  • Detailed specifications sheet outlining chosen materials and finishes.

  • Assistance in sourcing and procurement of materials if required.

  • One round of revisions based on client feedback.

1.3 Timeline:

The project is expected to be completed by July 15th, 2050.

2. Compensation

2.1 Payment Structure:

The Client shall compensate the Designer according to the following structure: milestone-based.

2.2 Total Project Cost:

The total cost for the project is $10,000.

2.3 Payment Schedule:

The Client shall make payments as follows:

  • Initial Deposit: $3,000 due upon signing of this Contract.

  • Design Concept Approval: $2,000 due upon approval of the final kitchen layout and material selections.

  • Commencement of Construction: $3,000 due upon the start of construction.

  • Final Payment: The remaining balance of $2,000 is due upon completion of the project.

3. Intellectual Property Rights

3.1 Ownership:

The Designer retains ownership of all original work created during the project, including design concepts, drawings, and specifications.

3.2 Client Rights:

Upon full payment, the Client shall have the right to use the final deliverables for the renovation of their residential kitchen.

3.3 Usage Rights:

The Designer reserves the right to display the completed project in portfolios, websites, or promotional materials, to showcase their work to potential clients.

4. Revisions and Alterations

4.1 Included Revisions:

Two rounds of revisions are included in the Contract.

4.2 Additional Revisions:

Any additional revisions requested beyond the included rounds will be subject to additional fees at the rate of $50 per hour.

4.3 Timeline:

Revisions must be requested within 30 days of project completion.

5. Confidentiality

5.1 Protection:

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the project, including but not limited to design concepts, client data, and financial information.

5.2 Non-Disclosure:

Neither party shall disclose any confidential information to third parties without prior written consent from the other party. This includes discussing project details, sharing documents, or revealing any sensitive information related to the project without explicit permission.

6. Termination Clause

6.1 Conditions:

Either party may terminate this Contract in writing if the other party breaches any material provision and fails to remedy the breach within 14 days of receiving written notice.

6.2 Process:

Upon termination, the Client shall pay for all completed work up to the termination date based on the agreed-upon payment schedule. Any outstanding payments for work completed before termination shall be due within 30 days of the termination date.

7. Governing Law

This Contract will be under the governance of, and shall be interpreted by, the laws of the respective jurisdiction specified herein.
