Service Agreement Contract
This Service Agreement (the “Agreement”) is dated as of [insert date], by and between [Your Name], with principal offices at [Your Company Address] ("Service Provider"), and Heather Larson, with principal offices at 7865 Cedar Street, San Francisco, CA 94105 ("Client"), collectively the "Parties."
1. SCOPE OF SERVICES
The Service Provider agrees to provide web development services (the "Services") to the Client on the terms and conditions set out in this Agreement. The Services shall include website design, front-end and back-end development, and maintenance support.
2. PAYMENT TERMS
The Client agrees to pay the Service Provider a fee of $12,000 for the Services (the "Fee"). The Fee shall be invoiced in three installments: 40% upon signing, 30% mid-project, and 30% upon final delivery.
3. DURATION
This Agreement shall continue in effect from July 15, 2051 to October 15, 2051 unless earlier terminated as provided in this Agreement. Upon termination, all rights and obligations of the Parties under this Agreement will cease, except that all obligations arising before termination will survive.
4. INTELLECTUAL PROPERTY RIGHTS
All intellectual property rights in any works arising in connection with the performance of the Services will be the property of the Client.
5. CONFIDENTIALITY
Every Party involved agrees to maintain strict confidentiality of all such Confidential Information that they receive from the other party involved. They also agree to have restrictions in place to ensure the use of this Confidential Information is only for purposes that directly relate to this Agreement and nothing beyond it.
6. LIABILITY
Allen Lewis will not be liable for any loss of income, profits, contracts, data, or for any indirect or consequential loss or damage, regardless of cause, including tort or breach of contract.
7. GOVERNING LAW
This Agreement will be under the regulation of and interpreted based on the laws existing in the jurisdiction which is expressly mentioned in this context.
IN WITNESS WHEREOF, the Parties have executed this Service Agreement as of the July 10, 2051.
