This Freelance Recruiter Contract ("Contract") is made and entered into on this 12th day of December 2050, by and between [Your Company Name], with its principal office located at [Your Company Address], ("Company"), and Javier Jacobs, a freelance recruiter, with his principal address at Chandler, AZ 85224, ("Recruiter"). Collectively, the Company and the Recruiter are referred to as the "Parties."
I. Purpose of the Contract
The purpose of this Contract is to set forth the terms and conditions under which the Recruiter will provide freelance recruitment services to the Company. The Recruiter will assist the Company in sourcing, evaluating, and recommending candidates for various roles within the Company as requested.
II. Scope of Services
Recruitment Services
The Recruiter agrees to provide the following recruitment services:

Sourcing and identifying candidates for job openings specified by the Company.

Screening resumes and conducting preliminary interviews.

Presenting qualified candidates to the Company for further evaluation.

Coordinating candidate interviews with hiring managers.

Mediating employment offer negotiations between the company and candidates.
Confidentiality
The Recruiter agrees to keep all information, including candidate details, proprietary Company information, and other sensitive data, confidential and not to disclose such information to any third party without prior written consent from the Company.
III. Compensation
Payment Terms
The Company agrees to pay the Recruiter a fee for each candidate successfully placed with the Company. The fee structure is outlined as follows:

Placement Fee: A percentage of the candidate's first-year salary, to be mutually agreed upon prior to the commencement of the recruitment effort for each role.

Payment Terms: Payments are due within 30 days after the candidate's start date with the Company.
Expenses
The Company will reimburse the Recruiter for any reasonable expenses incurred in the course of providing services, provided that such expenses have been pre-approved by the Company.
IV. Term and Termination
Term of Agreement
This Contract shall remain in effect for a period of one year from the date of execution unless terminated earlier by either Party in accordance with the provisions below.
Termination for Convenience
Either Party may terminate this Contract for convenience with 30 days written notice to the other Party. Upon such termination, the Company agrees to pay the Recruiter for all services rendered up until the termination date.
Termination for Cause
Either Party may terminate this Contract immediately upon written notice if the other Party breaches any material provision of the Contract and fails to remedy such breach within 15 days of receiving notice.
V. Governing Law
This Contract shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of laws principles.
VI. Dispute Resolution
In the event of a dispute arising from or related to this Contract, the Parties agree to first attempt to resolve the issue through negotiation. If the dispute cannot be resolved through negotiation, it will be submitted to binding arbitration in Arizona, in accordance with the rules of the American Arbitration Association.
