Supply Contract

1. INTRODUCTION

6. CONFIDENTIALITY AND NON-DISCLOSURE

Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the term of this Contract.

7. DISPUTE RESOLUTION

Any disputes arising out of or relating to this Contract shall be resolved through good faith negotiations between the parties. If negotiations fail, the parties agree to mediation before resorting to litigation.

8. TERMINATION

Either party may terminate this Contract upon 15 days written notice to the other party if:

There is a material breach of any provision of this Contract by the other party.
Either party becomes insolvent or bankrupt.

9. GOVERNING LAW

This Contract shall be governed by and construed by the laws of [Jurisdiction].

10. ENTIRE AGREEMENT
