Franchise Contract

This Franchise Contract (Contract), is made and entered into this [DATE] (the Effective Date), by and between [Your Name] (Franchisor), a corporation organized and existing under the laws of [Country], having its principal place of business at [Your Company Address], and [Franchisee Name] (Franchisee), a corporation organized and existing under the laws of [Country], having its principal place of business at [Franchisee Address].

I. GRANT OF FRANCHISE

Subject to terms and conditions as outlined in this Agreement, the Franchisor hereby grants to the Franchisee a non-exclusive right to operate a franchised business employing the Franchisor’s system of operation, marks, and proprietary information relating to the set-up, operation, and promotion of the franchise.

II. FRANCHISE LOCATION

The franchisee shall open and operate the Franchise only at a location ('Premises') agreed upon by both parties.

III. TERM AND RENEWAL

Franchisee shall indemnify and hold the Franchisor harmless against any claim, loss, damage, cost, or other expense incurred by the Franchisor resulting from the conduct of the Franchisee’s business, any default by the Franchisee under this agreement, or the Franchisee’s violation of any law.

VIII. DEFAULT AND TERMINATION

Either party may terminate this Agreement upon written notice if the other party defaults on any material term or condition of this Agreement, and the defaulting party fails to remedy that default within a reasonable time after receipt of written notice of default.

IX. DISPUTE RESOLUTION

Any dispute arising out of or relating to this Agreement, its performance, breach, or interpretation (including issues about its validity or enforceability), shall be exclusively (except as provided below) resolved by binding arbitration.

X. GOVERNING LAW
