Cost Plus Contract

This Cost Plus Contract ("Contract") is made as of [Date] (the "Effective Date") between [Client's Name], with its principal place of business at [Client's Address] (the "Client") and [Your Company Name], with its principal place of business at [Your Company Address] (the "Contractor").

1. Engagement

The Client hereby engages the Contractor, and the Contractor accepts such engagement, to undertake and complete the project as more fully described in Exhibit A, incorporated herein by reference ("Project").

2. Reimbursement of Expenses

2.1 The Client agrees to reimburse the Contractor for all documented reasonable and necessary expenses incurred by the Contractor directly related to the performance of its duties under this Contract. Such expenses may include but are not limited to, legal fees, accounting fees, travel and accommodation expenses, and other direct project expenses.

2.2 The Contractor shall provide the Client with detailed receipts or invoices for all expenses incurred during the performance of the work under the Project.

2.3 The Client shall make reimbursements within [Number of days] days of receiving an invoice from the Contractor. Late payments shall bear interest at the rate of [Percentage]% per month or the maximum rate permitted by law, whichever is less.

Compensation

The Contractor shall be compensated for its services according to the following terms:

  • The Contractor's fees shall be based on actual expenses incurred plus [Percentage] of the total expenses as agreed upon between the Client and the Contractor.

  • Payment shall be made by the reimbursement clause outlined above.

3. Term & Termination

3.1 This Contract shall commence on the Effective Date and shall remain in full force and effect unless and until terminated by either party giving the other not less than 30 days' prior written notice.

3.2 On termination of this Contract for any reason, the Client shall immediately pay to the Contractor all of the Contractor's outstanding unpaid invoices and interest and, in respect of Services delivered but for which no invoice has been submitted, the Contractor may submit an invoice, which shall be payable immediately on receipt.

4. Representations and Warranties

Each party represents and warrants to the other that the execution and performance of this Contract does not and shall not violate, conflict with, require consent under, or result in any breach or default.

5. Confidential Information

Both parties agree to keep confidential any information received from the other party that is designated as proprietary and/or confidential or that, by the nature of the circumstances surrounding the disclosure, ought in good faith to be treated as proprietary and/or confidential.

6. Governing Law and Jurisdiction

This Contract shall be governed by and construed by the laws of [State/Country].

Miscellaneous

  1. This Contract constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral.

  2. This Contract may not be modified or amended except in writing signed by both parties.

  3. If any provision of this Contract is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

  4. This Contract may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute the same instrument.
