Freelance Editing Contract

The present Contract has been duly established and entered into on this day [DATE], by two participating parties. The first of these parties is [Client Name], who will henceforth be known and referred to as the "Client" within the confines of this particular Contract. The second party involved in this contract is [Your Name], who will, from this moment forward, be known and henceforth referenced as the "Editor" in all matters about this Contract.

1. Scope of Work

The Editor agrees to perform editorial services for the Client on the manuscript/content provided. These services include, but are not limited to correcting grammar, and sentence structure, verifying facts, and ensuring consistency in style and language.

2. Terms of Payment

The Client agrees to pay the Editor the sum of $80, payable on [Payment Date]. In the event the Client fails to make the payment on the specified date, late charges may apply.

  • Any additional revisions requested by the Client beyond the scope of this Contract may incur additional fees, subject to mutual agreement between the Client and the Editor.

3. Delivery of Services

The individual assigned as Editor is hereby obligated to successfully finish any required editing tasks by the mutually agreed deadline date. Following the completion of these tasks, the Editor is then mandated to submit the final product, which may include various forms of content such as a manuscript, to the Client. This submission should strictly follow the method which has already been agreed upon by both parties.

4. Confidentiality

The Editor acknowledges that they may be furnished or may otherwise receive or have access to information that relates to the Client’s past, present, or future products, vendor lists, creative works, marketing strategies, pending projects/proposals, and other proprietary information. The Editor agrees to protect the confidentiality of the Client’s proprietary information and all physical forms thereof, whether disclosed to the Editor before this Contract is signed or afterward.

5. Independent Contractor

The relationship of the parties under this Contract is one of independent contractors, and no joint venture, partnership, agency, employer-employee, or similar relationship is created in or by this Contract. The Editor is not an employee for work or service contracts, and the Client will not provide fringe benefits, such as health insurance benefits, paid vacation, or any other employee benefit, for the benefit of the Editor.

6. Termination

Either party may terminate this Contract upon giving the other party written notice of termination. If this Contract is terminated before the Editor completes the project, the Editor shall be paid for work completed up to the date of termination.

7. Indemnification

Each party agrees to indemnify and hold harmless the other party, its respective affiliates, officers, agents, employees, and permitted successors and assigns against any claims, losses, damages, liabilities, penalties, punitive damages, expenses, reasonable legal fees, and costs of any kind or amount whatsoever, which result from the negligence of or breach of this Contract by the indemnifying party, its respective successors and assigns that occurs in connection with this Contract.
