Copywriter Contract

This Contract (the "Contract t") is made and entered into this [DATE] (the "Effective Date"), by [Copywriter's Name] (the "Copywriter") and [Client's Name] (the "Client"), collectively referred to as the "Parties".

1. Scope of Work

The Copywriter agrees to provide the following copywriting services to the Client:

1.1 Description of services

The Copywriter agrees to provide the following copywriting services:

  • Crafting compelling product descriptions for the Client's new line of organic skincare products.

  • Writing engaging blog posts for the Client's website focusing on sustainable living and wellness topics.

  • Creating persuasive email newsletters to promote upcoming sales and events for the Client's online store.

1.2 Deliverables

The Copywriter will deliver the following:

  • 10 product descriptions, each ranging from 100 to 150 words.

  • 4 blog posts, each with a minimum word count of 500 words.

  • 3 email newsletters, each containing promotional content and calls to action.

1.3 Deadlines

The deadlines for the deliverables are as follows:

  • Product descriptions: Due by [specific date].

  • Blog posts: Due by [specific date].

  • Email newsletters: Due by [specific date].

1.4 Any specific requirements

The Copywriter will adhere to the following requirements:

  • Incorporate SEO keywords provided by the Client into all copy.

  • Ensure all content aligns with the brand voice and style guidelines provided by the Client.

  • Provide drafts for review and feedback at least [specific timeframe] before the final deadline.

2. Payment Terms

The Client agrees to pay the Copywriter the sum of $2000 for the services rendered. Payment shall be made according to the following schedule:

  • 50% upfront: $1000 upon signing of the contract.

  • 50% upon completion: $1000 upon delivery and approval of all deliverables.

Additional fees or expenses may be incurred for rush delivery requests requiring completion within 48 hours.

3. Intellectual Property Rights

Upon successful completion of the project and receipt of full payment, all rights to the copywriting work shall be transferred to the Client. The Copywriter hereby relinquishes any rights to the work, except for the limited use for portfolio display purposes, unless explicitly agreed upon otherwise in writing by both parties.

4. Confidentiality

Both parties mutually agree to maintain strict confidentiality regarding any sensitive information exchanged throughout the project. This encompasses but is not limited to, proprietary data, business strategies, and project particulars.

5. Revisions and Approval

The Client shall be entitled to three revisions. Any additional revisions beyond this limit shall incur an additional fee at the rate of $50 per revision. The Client must provide written approval of the final copy before it can be published or distributed.

6. Termination

Either party may terminate this agreement with 30 days written notice. In the event of termination, the Client shall compensate the Copywriter for all services rendered up to the termination date, based on the agreed-upon payment terms outlined in the contract. This includes payment for completed deliverables and any incurred expenses or additional fees up to the termination date.

7. Indemnification

Both parties agree to indemnify and hold each other harmless from any claims, damages, or liabilities arising from the copywriting work, including copyright infringement, defamation, or breach of contract. Each party will cover legal costs and settlements resulting from their actions or negligence, protecting both parties from legal disputes or financial repercussions.

8. Governing Law and Jurisdiction

The agreement in discussion is subjected to the imposed governing laws of the stated jurisdiction. In situations where any disputes or disagreements may arise out of, or are in connection with this agreement, they shall be resolved through the process of arbitration, which will be held within the specifically stated jurisdiction.

9. Miscellaneous Provisions

9.1 Non-Solicitation Agreement

The Copywriter agrees not to solicit or hire any employees or contractors of the Client during the term of this agreement and for a period of [specify duration] after its termination.

9.2 Force Majeure

Neither party shall be liable for any delay or failure to perform their obligations under this agreement due to events beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, or government regulations.
