ANNUAL MAINTENANCE CONTRACT

This Annual Maintenance Contract serves as a formal contract between [Your Company Name] and [Client's Name], establishing the terms and conditions for the provision of maintenance services. Recognizing the importance of regular upkeep and technical support for optimal IT performance, the parties commit to a transparent and cooperative relationship. Through this Contract, [Your Company Name] pledges to deliver high-quality maintenance services tailored to the needs of [Client's Name], fostering reliability, security, and efficiency in their IT infrastructure.

1. SCOPE OF SERVICES:

The IT firm consents to offer yearly upkeep services for the Client's network infrastructure, encompassing elements like routers, switches, servers, software applications like Microsoft Office Suite and Adobe Creative Cloud, along with hardware peripherals like printers and scanners, as detailed in the appended Schedule, which is hereby integrated by reference.

2. DURATION:

This contract shall commence on February 1, 2055, and shall remain in effect for one (1) year. The contract may be renewed upon mutual contract of both parties.

3. SERVICE FEES:

The Client shall pay an annual maintenance fee of $1,500 for the services provided under this contract. Payment shall be made in full within 30 days of invoice receipt. Late payments are subject to a 5% late fee.

4. SERVICE LEVEL CONTRACT (SLC):

The IT Company agrees to adhere to the following SLC:

  • Response Time: Within 2 hours for critical issues, Within 4 hours for high priority issues, Within 8 hours for medium priority issues, Within 24 hours for low priority issues

  • Resolution Time: 95% of critical issues were resolved within 4 hours, 90% of high-priority issues were resolved within 8 hours, 85% of medium-priority issues were resolved within 24 hours, and 80% of low-priority issues were resolved within 48 hours

  • Performance Metrics: Network uptime of at least 99.5% per month, Application availability of 99.9% per quarter, Average server response time below 500 milliseconds

5. RESPONSIBILITIES OF THE PARTIES:

Client's Responsibilities:

  • Ensure the provision of access to the systems, along with the required software and/or hardware, for conducting maintenance-related tasks or duties.

  • You must report any issues or malfunctions that you may encounter immediately and directly to the information technology company.

IT Company's Responsibilities:

  • Carry out the maintenance duties as they have been detailed and scheduled in the document referred to as Schedule.

  • During the hours of operation for the business, it is necessary to ensure that appropriate technical support is provided to troubleshoot and resolve any technical issues that may arise.

6. EXCLUSIONS:

This contract does not cover:

  • Services or items that have not been specifically mentioned or listed in the Schedule.

  • The damage that is caused by misuse of the object, neglecting its proper care and treatment, or modifications made without proper authorization.

7. TERMINATION:

Either party may terminate this contract upon 30 days' written notice if the other party breaches any material term of the agreement. In the event of termination, the Client shall pay for any services provided up to the termination date.

8. CONFIDENTIALITY:

Both parties associated with this contract are in a unanimous contract to keep any information that is disclosed during the tenure of this contract a secret, especially if it is proprietary or sensitive in any capacity. The contract ensures that any information shared will not be disclosed more widely and will be kept strictly confidential.

9. GOVERNING LAW AND JURISDICTION:

This contract shall be governed by the laws of [specify jurisdiction]. Any disputes arising under this contract shall be resolved through arbitration in [specify location].

10. AMENDMENTS:

Any amendments or modifications to this contract must be made in writing and signed by both parties.
